Approve Cost Share Agreement between City of Hopkins and Three Rivers Park
District — Blake Road Corridor Study
Proposed Action.
Staff recommends adoption of the following motion: Move that Council approve
a cost share agreement between the City of Hopkins and Three Rivers Park
District — Blake Road Corridor Study and authorize the Mayor and City Manager
to sign the agreement.
Overview_
This is an agreement whereby the City agrees to accept $5,000 towards the cost
of the Blake Road Corridor Study for expenses related to a potential grade -
separated Cedar Lake Regional Trail crossing of Blake Road.
The total cost of the Blake Road Corridor Study is $150,000. Those participating
in the cost of this study include:
Hennepin County: $100,000
City of Hopkins: $20,000
City of Edina: $10,000
City of St. Louis Park: $10,000
Three Rivers Park District: $5,000
Minnehaha Creek WD: $5,000
Staff recommends approval.

COST SHARE AGREEMENT FOR BLAKE ROAD STUDY
This agreement (the "Agreement") is made and entered into this day of
, 2014, by and between Three Rivers Park District, a body corporate and
politic and a political subdivision of the State of Minnesota ("Park District"), and the City of
Hopkins, a Minnesota municipal corporation ("City").
WHEREAS, Park District is a political subdivision of the State of Minnesota
authorized by statute to acquire, establish, operate and maintain park and trail systems;
and
WHEREAS, Park District owns and operates the Cedar Lake Regional Trail within the
City; and
WHEREAS, City is proceeding with a study of Blake Road for purposes of developing
a 'conceptual improvement plan' along the corridor between Interlachen Boulevard and
West 36`h Street which includes the Cedar Lake Regional Trail crossing ("Blake Road
Study"); and
WHEREAS, City requested that the Park District financially contribute to the Blake
Road Study in respect to the Cedar Lake Regional Trail crossing; and
WHEREAS, Park District agrees to contribute $5,000 toward the Cedar Lake
Regional Trail crossing portion of the Blake Road Study; and
WHEREAS, City is responsible to fund remaining project costs, complete the Blake
Road Study, and work closely with all stakeholders including the Park District throughout
the project; and
WHEREAS, the Park District may actively participate and provide guidance in those
portions of the Blake Road Study which directly or indirectly relate to the Cedar Lake
Regional Trail crossing of Blake Road; and
NOW THEREFORE, in consideration of the mutual covenants herein, and other good
and valuable consideration, the sufficiency of which is hereby acknowledged, Park District
and City agree as follows:
1. Blake Road Study.
The City of Hopkins is responsible to conduct the Blake Road Study, an
engineering study to develop a 'conceptual improvement plan' along Blake Road
between Interlachen Boulevard and West 36`h Street. The goal of the study is to
accommodate all transportation modes, facilitate access to the future LRT station,
facilitate future redevelopment, and provide better connections to the adjacent
neighborhoods and parks. The conceptual improvement plan will identify the
specific corridor improvements required to achieve the land use and
transportation vision for the corridor. The conceptual improvement plan will
address the overall cross-section for Blake Road, location of sidewalks and trails,
proposed pedestrian and bicycle crossing locations, location of vehicular access to
and from Blake Road, improvements needed for the Southwest LRT Blake Road
Station, potential intersection improvements along the corridor, landscaping, and
lighting for the corridor.
The primary focus of the Blake Road Study involving the Regional Trail crossing
will be providing a grade separated crossing, either a tunnel or bridge. The Blake
Road Study may provide at grade recommendations as well. Trail crossing
improvement recommendations shall comply with the Guidance for Three Rivers
Park District Trail Crossings, December 2013.
2. Financial Participation. Upon Park District approval of the Blake Road Study,
the City shall invoice the Park District five thousand dollars ($5,000). The Park
District's financial contribution may only be used for those portions of the Blake
Road Study directly related to the Cedar Lake Regional Trail Crossing. Park
District shall provide within forty-five (45) days of said invoice, payment to the
City. The City shall be responsible for any and all other costs associated with the
Blake Road Study.
3. Lead Agency. The City shall be the lead agency and its agents shall be
responsible to ensure that all work and services required to adequately complete
the Blake Road Study are in accordance with the provisions provided herein, as
well as any and all applicable laws, regulations, and guidelines. It is understood
that the City or its agents shall be responsible for the collection of any and all
data required to complete the Blake Road Study; however, the Park District will
provide the City with existing pertinent data as may be available.
City in its sole discretion may elect to complete the Blake Road Study using its
own staff resources or may hire a professional consulting firm to complete said
work.
4. Proiect Documents. All records kept by the City and Park District with respect
to the Blake Road Study shall be subject to examination by the representatives of
each party.
Upon completion of the Blake Road Study, City shall furnish at no additional
expense one (1) hard copy and one (1) electronic copy in PDF format of the
completed Blake Road Study.
5. Designated Representatives. In order to coordinate the services of the Park
District with the activities of the City so as to accomplish the purpose of this
Agreement, the City Manager or a designated representative shall manage this
Agreement on behalf of the City and shall serve as liaison between the City and
the Park District.

representative shall manage this Agreement on behalf of the Park District and
shall serve as liaison between the Park District and the City.
6. Liability. Each party agrees that it will be responsible for its own acts and the
results thereof, to the extent authorized by the law, and shall not be responsible
for the acts of the other party and the results thereof. The City's and the Park

District's liability are governed by the provisions of Minnesota Statutes, Chapter
466.
The City and the Park District each warrant that they are able to comply with the
aforementioned indemnity requirements through an insurance or self-insurance
program.
Any alterations, variations, modifications, or waivers of provisions of this
Agreement shall only be valid when they have been reduced to writing as an
amendment to this Agreement signed by the parties hereto.
7. Preamble Inclusion. The matters set forth in the "whereas" clauses at the
beginning of this Agreement are incorporated into and made a part hereof by this
reference.
IN WITNESS WHEREOF, the parties have set their hands the day and year first
written above.
