Approve Second Amendment to Site Lease Agreement between City of Hopkins and New Cingular Wireless PCS; StadlerNovember 26, 2014 Council Report 2014-137 Approve second Amendment to Site Lease Agreement between City of Hopkins and New Cingular Wireless PCS for the installation of additional antennas at the Blake Water Tower Proposed Action. Staff recommends adoption of the following motion- Move that Council authorize the City Manaqer to sign the first amendment to the site lease agreement between the City of Hopkins and New Cingular Wireless PCS to allow the installation of additional antennas at the Blake Water Tower site. Overview. In 2006, the City approved a site lease agreement for the Blake Water tower site with Cingular/AT&T for the installation of panel antennas and a ground support building. This agreement was amended in July, 2011 due to site modifications including increasing the antennas from six to nine. The rental for this lease is currently $3,028.91/month or $36,346,92/year. The amendment allows New Cingular Wireless to increase the number of antennas from nine to twelve and increases the monthly lease rate by $1,010,09/month with annual 5% increases. Additionally, the second amendment includes 2 additional extension terms of 5 years each. The current lease agreement expires in 2021. The new expiration would be in 203'1. There are no other changes to the lease agreement. New Cingular has an existing communications facility and ground lease at the site which is not altered. If approved, work will begin within two months. The engineering firm of SEH will oversee the new installation to ensure it complies with the plans and specifications. Street S., Hopkins, MN 55343 (hereinafter referred to as "Landlord") and New Cingular Wireless PCS, LLC, a Delaware limited liability company, having a mailing address of 575 Morosgo Drive NE, Suite 13-F West 'rower, Atlanta, GA 30324 (hereinafter referred to as "Tenant"). WHEREAS, Landlord and Tenant entered into a Lease Agreement dated November 7, 2006, whereby Landlord leased to Tenant a certain site, therein described, that is a portion of the Landlord's Property located at 145 Harrison Ave, South, Hopkins, MN ("Agreement"); WHEREAS, Landlord and Tenant entered into a First Amendment to Lease Agreement dated July 13, 2011, by which the parties replaced Exhibit I of the Agreement with Exhibit I -A, representing modifications to the equipment upon the Site, and by which the parties increased the annual rent and amended the Notice provision, Section 17, of the Agreement ("First Amendment"); WHEREAS, Landlord and Tenant again desire to amend the Agreement to reflect a modification of Tenant's equipment and, in consideration thereof, an annual rent increase; WHEREAS, Landlord and Tenant desire to amend the Agreement to extend the term of the Agreement .and to modify the notice section thereof, and WHEREAS, Landlord and Tenant, in their mutual interest, wish to amend the Agreement as set forth below. NOW THEREFORE, in consideration of the foregoing and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Landlord and Tenant agree as follows: Lease of Premises. Per Section I of the Agreement, Tenants' equipment upon the Site is hereby amended by deleting Exhibit 1 -A in its entirety and replacing it with Exhibit 2-A attached hereto and incorporated herein by reference. Pursuant to Exhibit 2-A and as reflected therein, Tenant is swapping in three (3) new LTE antennas (one per sector), and adding three (3) new LTE antennas (one per sector), three (3) AWS RRI-I (one per sector), three (3) WCS RRH (one per sector), three (3) 700 D/E RRH (one per sector), and one(]) RAYCAP RC12-PC6-1OE, including associated conductors, mounting pipes, and cabling. The upgrades and modifications necessary to the installation of new antennas require the occupation of new and additional space at the Site not previously occupied by Tenant. 2. Rent. Once the additional equipment and antermas are installed by Tenant as reflected in Exhibit 2-A, the existing annual rent shall be increased by One Thousand Ten and 9/100 Dollars ($1,010.09) per month -for a total of Four Thousand Thirty -Nine and 00/100 Dollars ($4,039.00) per month and will be subject to the same existing five percent (5%) annual rent escalation. 3. Extension of Term. In addition to the Extension Terms presently set forth in the Agreement, the parties hereby agree to add two (2) additional Extension Terms of five (5) years each. Accordingly, at the end of the final Extension Term presently set forth in the Agreement, the Term will automatically renew for two (2) separate consecutive additional periods of five (5) years each (each being defined as an Extension Term) upon the same terms and conditions of the Agreement, unless Tenant notifies Landlord in writing of Tenant's intention not to renew the Agreement at least sixty (60) days prior to the expiration of the existing Term. 4, Notices. Section 17 of the Agreement is hereby deleted in its entirety and replaced with the following: NOTICES. All notices, requests, demands and communications hereunder will be given by first class certified or registered mail, return receipt requested, or by a nationally recognized overnight courier, postage prepaid, to be effective when properly sent and received, refused or returned undelivered.
