COOPERATIVE AGREEMENT BETWEEN THE HENNEPIN COUNTY HOUSING AND
REDEVELOPMENT AUTHORITY AND THE CITY OF HOPKINS
Proposed Action
Staff recommends adoption, of the following motion: Move to approve the Cooperative Agreement
between the Hennepin County Housing and Redevelopment Authority and the City of Hopkins.
With this motion the agreement will be executed.
Overview
In December 2009, Hennepin County established the Southwest LRT Community Works project to
provide an organizational structure and process for coordinating LRT engineering and land use
planning. In 2010, the Hennepin County Board, directed staff to begin project implementation to
maximize the opportunities to enhance the public benefits of transit investments through strategiic,
coordinated public and private investments "'beyond the rails" that will support economic
development, creation of access to jobs and housing, and the creation of healthy, safe and walkable
neighborhoods served' by public transit.
Hennepin County, in cooperation with the five SW LRT cities, then initiated the Transitional Station
Area Action Plan (TSAAP) process to promote opening day readiness in 2019 by bridging the gap
between current conditions and future needs by identifying and prioritizing infrastructure
improvements that enhance businesses, support mixed -income housing, and encourage new
development. The 17 individual Transitional Station Area Action Plans have been compiled into the
Southwest Corridor Investment Framework, which will act as a living document guiding the public and
private sector investments.
In order to implement the recommendations of the Investment Framework by working in collaboration
with Hennepin County, the Hennepin County Housing & Redevelopment Authority requires entering
into a Cooperation Agreement.
Prima !y Issues to Consider
The agreement simply allows for the exchange of funds from Hennepin County to the City of Hopkins
and is a standard requirement for Hennepin County Community Works funding.

This Agreement is between the County of Hennepin Housing and Redevelopment
Authority, State of Minnesota ("HCHRA"), 701. Fourth Avenue South, Suite 4010, Minneapolis,
MN 55415, and the City of Hopkins ("City"),, 1010 First Street South, Hopkins, MN 55343.
WHEREAS, the HCHRA and the City have each approved the Southwest Community
Investment Framework ("Framework"') dated December 16, 2013, through Hennepin County
Resolution 14-0490, CITY action on January 6, 2015;
WHEREAS, the HCHRA and the City agree that there are financial and strategic benefits
of working together to further the goals of the Framework ("Goals") and wish to document that
understanding in a cooperative agreement;
WHEREAS, the HCHRA and the City plan to develop one or more projects ("Project or
Projects") to further the Goals;
WHEREAS, a cooperative agreement and future Projects fit within the criteria of a
multijurisdictional reinvestment program authorized under Minnesota Statutes §38313,79; and
WHEREAS, the HCHRA and City have the authority to participate in a cooperative
agreement and Project pursuant to Minnesota Statutes §§38313,79 and 469.001 to 469,047 and
other applicable law; and
WHEREAS, the COUNTY and tile City have the authority to contribute to a Project
pursuant to Minnesota Statutes §§383B.79 and 469.041 and other applicable law,
THEREFORE, the parties agree as follows:
I Furtherance of Goals. Pursuant to Minnesota Statutes, Section 38313,79, the HCHRA,
City [and Other Entity] enter into this cooperative agreement, and agree to work with
each other to further the goals of the Framework by attempting to develop one or more
Projects subject to the following requirements:
a. That the City retains its jurisdiction overall issues of local concern relating to
zoning, land usage, building code requirements and compliance with all
applicable city codes and ordinances.
b. That the full faith and credit of the City will not be pledged as, a source of
payment or repayment of said Project financial obligations owed by Hennepin
County and/or the HCHRA.

Agreement shall be described in an amendment to this Agreement and approved by each
of the parties.

the HCHRA to be disbursed by the HCH RA for any Project,
4. Merger and Modification.
a. The entire Agreement between the parties is contained in this Agreement and
supersedes all oral agreements between the parties relating to the subject matter.
All iterns that are referenced or that are attached are incorporated and made a part
of this Agreement, If there is any conflict between the terrors of this Agreement
and referenced or attached items, the terms of this Agreement shall prevail.
b. Any alterations, variations, modifications, or waivers of provisions of this
Agreement shall only be valid when they have been reduced to writing as an
amendment to this Agreement and signed by the parties,
5. Contract Administration, In order to coordinate the services of the City [and Other
Entity] with the activities of the HCHRA so as to accomplish the purposes of this
Agreement, Catherine Walker, or her successor, shall manage this Agreernent on behalf
of the HCHRA and serve as liaison between the HCHRA and the City, and Kersten
Elverum, or her successor shall manage this Agreement on behalf of the City,
6. Notices. Any notice or demand which must be given or made by a party under this
Agreement or any statute or ordinance shall be in writing, and shall be sent registered or
certified mail. Notices to the HCH RA shall be sent to the Deputy Executive Director at
the address stated in the opening paragraph of the Agreement, Notice to the City [and
Other Entity] shall be sent to the address stated in the opening paragraph of the
Agreement.
