Proposed Action
Staff recommer�ds adoptior� of the following motion: Move that Council approves a right af way
encroachmer�i agreemeni between the City and the property owners at 8660 Excelsior
Boulevard.
Overview
The properEy a 866� �xcelsior Baulevard (Fastenal business) is being sold and if was
discovered #o have a sigr�ificant encroachment ir�fo the public rEght ofi way. The current property
ow�ers requested an encroachment agreement to permit an existir�g retainir�g wall to remain
vvithin the right of way. The City Attorney and legal counsel representing the sellers have jointly
drafted #he attached agreement.
City staff recommends appraval of �he encroachmer�t agreement.

ENCROACHMENT AGREEMENT
THIS ENCROACHMENT AGREEMENT ["Agreement") is made on
, 2015 ["Effective Date"), by and among the City of Hopkins, a Minnesota
�nunicipal corporation ("City"}; and Mary C. Zinsholt as Trustee of the Mary C. Zinsholt
Revocabl� Living Tr.ust ("Zinsholt") and Mary C. Zinsholt as Trustee of the Charles R. Hal�
Revocable Living Trust ("Holt") (Zinshol� a�d Hol� collectively referred to as "Property
Owners"; Ciiy', Zinsholt and Holt are sometimes individually referred as "Party" and
collectively as "Parties")
RECITALS
a. City is the owner oi Pierce Avenue North, a public road in the City of Hopkins,
Hennepin County, Minnesota ("The Road").
b. Zinsholt is the ow�.Er af an'undivideci�one�half interest in the reallproperty in �
Hennepin County, Minnesata legally described on attachec� Exhibit A("The
Property")
c. Hol� is the owner of an ur�di�ided one-half interest in The Property.
d. The Property is l�nown as 86b0 Excelsior Bouievard, Hoplcins and abuts The Road.
e. A dirt berm, covered wiil� %ituminous, and a keystone retaining wall a� The
Property owned by �he Praperty Owners encroaches over the east property line
anto The Road ["Encroaeh�nent"]. The Encroachment is depicted_on. at�ac�ed
Exhibit B.
f. The Parties have agreed on terms and conditions for the Property Own�rs to
maintain �h� E�craachment and desire to enter into this Agreement to mem�rialize
�he agreed terms and conditians.
AGREEMENT
NOW, THEREFOR�, iti is hereby and herein mutual�y agreed, in consideration of
promises and considerations of the Parties as set farth, as follows:
1. The abave Rec�tals and attached Exhibits are a material part of this Agreement and
are incorparated h�r�in.
2. The Ci�y hereby gra��s to tl�e Praper�y Owne:rs a no�.-exclusive license within the
Road in the current location of the Encroachment as depicted on attached Exhibzt �
("License Area"), subject to th� ��rms atnd conditions of this Agreement.
3. T�� I�icense shall commence upon the EFFective Datie and shall terminate pursuant to
Paragraph 6 helow ("Term"]
4. The Pra.perty Owners shaIl, during ihe Term, rnaintain, at Property Owr�ers' sole
cos� a�d e�pense, �he current Encraachment impraveme�.�s in good repair and in
compliance vvith ali appIicable local, state and federal rules and regulations. In the
event the Property Owners desire to imprave the Encroachmen�, Property Owners
shall submit a plan, subject to the review and approvaI of the City, and any work
s�all stricYly comply wi� the approved plans and shall be a� �he sole cast and
expense af the Property Owners.
5. In the event the City desires to make improvemen�s vvithin the Road the City wii�
�ake reasonable measures to limit disturi�ance of the Encroachmen�. Any areas of
the Encroachrnent that are disturi�ed will �e replaced at the sole cost and expense af
th� Property Owners.
6. Ei�her Far�y may terminate, with or witha�t cause, this Agreemen� arid t�e License
upon 60-d�ay written notice ta the other Party. The City may terminate this
AgreemenY and the License immediateiy upon praviding written �totice in the event
the City determines that such termination is necessary to protect the health, safety
and welfare af �he public from, as reasanably determi�aed by the City, an immediate
threat. Immediately upon termination, tl�e Property Owners shall remove the
�ncrQachment from The Road and shall restore, to the reasonable sa�isfac�ion af the
City, the License Area to a condition consistent with �he Road in its then-current
condition at the sole cost and expense of the Property Owners. I�a �h� event �he
Property Owners fail to remove the �ncroachment from The Road and restore the
I�icense Area as required herein upon termination, the City ma�r, b�t is no� obligated
to, complete such vvork. In such an event, the Property Owners shall pay to the City,
within 30 days' natice, the City's reasonable, necessary, and documented eosts for
said wark.
7. Th� Praperty Owners shall ir�elude the Licens� Area as i�sur�d premises under their
property Iiability insurance policy. Within 10 business days of the Effective Date
Property Owners shall provide the City with evidence of said insurance. Said
insurance shalI be maintained at ail times during the Term.
8. Pro}�erty Owners h�reby agree that it will indemnify, defend and hald harmless the
City of Hoplcins, its elected official, officers, employees, agents and consultants
["Ind�m�ified Parties") against all liabilities, judgements, ciaims, cos�s and expenses
including reasonable attarneys' fees, which may occur or arise against the
Indemnified Par�ies, arisi�.g from Property Owners' use of the License Area.
9. AlI notices required under ��ais Agre�ment shall be written and delivered eith�r by
hand delivery or first class U.S. mail, postage paid, to �he following address:
