Staff recommends adoption of the following motion: Move that Council approve proposed construction cooperative aqreement no. PW 19-27-02, with exceptions as described by staff, between the City of Hopkins and Hennepin County for construction and maintenance related to Excelsior Boulevard Improvements, Phase II. Overview. The engineer has completed final construction cost estimates and Hennepin County has prepared a proposed construction agreement for City consideration. The agreement allocates costs participation of construction items and real estate acquisition between the City of Hopkins and Hennepin County. The agreement also divides maintenance responsibilities between the City and County. The City must approve the agreement before the County can award the project. The agreement is more complex than most due to: 1) the construction cost for the new Excelsior Boulevard intersection and all its associated costs are born by the city; 2) the railroad is completely replacing their crossing; 3) there is significant real estate acquisition, both for the County road project and for the city intersection construction; and 4) there is existing street lighting that is being replaced plus major landscape/streetscape improvements. . Explanation of major cost participation items, including Hennepin County revisions to the draft agreement REAL EST ATE ACQUISITION (Articles IV through IX) Real estate acquisition related actions are the subject of Articles IV through IX of the agreement. The city is solely responsible for acquiring property needed as a result of the new intersection construction. The permanent easement area required from these properties is about 90,500 SF - SuperValu owns about 70,000 SF. The Alliant-Tech property (2,478 SF) will be deeded to the city at no cost per the Cornerstone Group - Regency development agreement. Hennepin County is acquiring all other property and the City and County will each pay 50% of the cost of these easements. Exceptions to the 50% - 50% cost sharing are the parcels at the Blake Road intersection. The County has asked that the City pay 60% of the cost for parcels 15- 20. This is because we are installing landscaped concrete walls at each corner of the intersection, requiring additional permanent easement. The permanent easement for . right of way totals 10,330 SF, while the wall easements total 5,077 SF. The County has proposed to deed over to the City the remnant portions of the total- take commercial properties along the south side of Excelsior Boulevard between Monroe Ave and the Blake School property. The City will pay 1;2 of the cost of those total-take property acquisitions, some of which have been purchased for some time now. However, the County has proposed that, in addition, the City pay 1;2 of the land value of the portions of those parcels not needed for public (road) right of way. The County has estimated this additional city cost at approximately $213,000. The City doesn't intend to benefit through sale or changed use of the remnant portions of these parcels. As a counter offer, I would propose that property restrictions be recorded against these properties such that if the City were to ever sell them that the County would then receive % of the fair market value of the property at the time of sale. Until such time as the properties are sold, if ever, the County and City will both benefit equally by the landscaped buffer strip. Additionally, the County has included language in Article VI which would allow the County to offer the four parcels adjacent to Blake School (east of Harrison Avenue) to the Blake School as mitigation land during negotiations with the school. Staff has stated that the City is not opposed to this concept provided the school would accept restrictions on the properties. The restrictions would be in place to prevent any future school use that's incompatible with the adjacent residential-zoned area or contrary to the Excelsior Boulevard landscaping/streetscaping theme. . . Council Report 2002-116 Page 3 ROAD CONSTRUCTION COST SHARING (Article X) The standard Hennepin County cost participation policy applies to this entire project except specific areas being reconstructed solely due to the construction of the new intersection. These areas are described in the cost agreement and delineated on Exhibit "A", sheet 3 of 6. Staff feels this policy on road construction costs is fair and reasonable. The City road reconstruction total cost is $2,170,000. This cost is shared between TIF District 2-11, MSA fund, PIR fund and some special assessment for Milwaukee Street reconstruction - see attached city cost breakdown. RECONSTRUCTION OF EXISTING AT-GRADE RAILROAD CROSSING AND SIGNAL SYSTEM (Article XI) The railroad has estimated these costs at $504,307. The redesign and replacement of the crossing and warning devices were required due to the new intersection construction. As a result, the city is paying the majority of the cost for this work. The County's original proposal, as shown in the draft agreement, was to contribute $99,611.00 toward these costs. Through negotiation, they have agreed to increase their contribution to $183,132.50. . STREET LIGHTING REIMBURSEMENT (Article XIII) Per Hennepin County cost participation policy, the County must pay 100% of the cost of re-installing existing street lights on any County road reconstruction project. This section of Excelsior Boulevard has 40 existing streetlights, which will be replaced with new lights. Accordingly, the County must give the city a credit equal to removal and re- installation of the 40 street lights. The County's original offer was $300/streetlight, or $12,000 total credit. They have since agreed to increase this credit to $1,500/streetlight or $60,000 total credit. CITY PAYMENT/S TO HENNEPIN COUNTY (Article XVIII) The County has agreed to increase the payment due date from 45 days to 90 days from the date of invoice. This will give the Finance Dept enough time to clear money from investments, without penalties, to pay the invoice/so . Maintenance Items (Article XXXI) The City is responsible for maintenance of street lighting, pedestrian/bicycle paths, sidewalks, landscaping elements, paver areas, utility systems, etc - see list in Article XXXI of agreement. . Council Report 2002-116 . Page 4 The County is responsible for maintenance of the County pavement, curbing, storm sewer catch basins and leads and traffic signals. . Staff Recommendation Staff recommends that City Council approve the cost agreement with the exception of the condition that the city pay for the remnant portions of the parcels along the south side of Excelsior Boulevard - see Article VI. By so doing, staff is hopeful that Hennepin County will proceed with advertising the project, with the anticipation that this one area of disagreement will be worked out prior to contract award. . . The TIF District 2-11 is slightly below earlier projections and the MSA fund amount is above projections. Of course, these amounts will change based on the low bid amounts for the work. The proposed MSA ,nd cost is higher than what was anticipated due to the high estimates of the cost of upcoming property quisition. 'LO I b../O -1- County State Aid Highway No.3 City of Hopkins County of Hennepin CONSTRUCTION COOPERATIVE AGREEMENT THIS AGREEMENT, Made and entered into this day of , 2002, by and between the County of Hennepin, a body politic and corporate under the laws of the State of Minnesota, hereinafter referred to as the "County", and the City of Hopkins, a body politic and corporate under the laws ofthe State of Minnesota, hereinafter referred to as the "City". WITNESSETH: WHEREAS, the County and the City have been negotiating to bring about the improvements of that portion of County State Aid Highway No. (CSAH) 3 (a.k.a. Excelsior Boulevard) from approximately 235 meters (770 feet) east of Trunk Highway No. (TH) 169 to approximately 205 meters (675 feet) east of CSAH 20 (a.k.a. Blake Road) as shown on the County Engineer's plans for County Project No. (C.P.) 9227, which contemplates and includes . grading, drainage, bituminous surfacing, bituminous paths, trail, retaining walls, traffic control signal systems, concrete walk, concrete curb and gutter, streetscape amenities, an at-grade railroad crossing and other related improvements, all within the corporate limits of the City; and WHEREAS, the above referenced plans for CP 9227 also include the reconstruction of Milwaukee Street between TH 169 and CSAH 3 and the reconstruction of Jackson Avenue between CSAH 3 and S1. Louis Street as requested by the City; and WHEREAS, the above identified construction is shown on the plans for CP 9227, which is also lrnown as SAP 27-603-29 and MSAP 132-020-13, and which is hereinafter referred to as the "Proj ectl'; and WHEREAS, the County in conjunction with the City has heretofore prepared an Engineer's Estimate of quantities and unit prices for the construction contract work of the above described Project in the amount of Six Million Three Hundred Forty Four Thousand Six Hundred Thirty Nine Dollars and Ninety Six Cents ($6,344,639.96) and the City has expressed its willingness to participate in said construction cost; and WHEREAS, the above stated Engineer's Estimate includes costs for landscaping and streetscaping elements which are eligible for and will be funded in part under the County's Roadside Enhancement Partnership Program; and . - 1 - - , Agreement No. PW 19-27-02 CSAH 3; c.P. 9227 . WHEREAS, the City has pending redevelopment plans for property located in the northeast quadrant of the intersection ofCSAH 3 and Trunk Highway No. (TH) 169 which is immediately adjacent to the Project; and WHEREAS, said pending redevelopment has had an effect on the design of the Proj ect proposed herein as well as the means by which the final plans have been developed; and WHEREAS, in conjunction with the development of said Project the City and the County have been negotiating to bring about the transfer of that portion of County State Aid Highway No. 20 (a.k.a. Blake Road) between the south City limits and CSAH 3 from the jurisdiction of the County to the jurisdiction of the City; and WHEREAS, the City has expressed intent to accept jurisdiction of the aforesaid roadway as part of and in conjunction with the terms set forth herein for the reconstruction of CSAH 3; and WHEREAS, to ensure compatibility with the County's existing network of traffic signal systems the County will furnish the controllers, control equipment and the control cabinets to be installed as a part of said Project; and WHEREAS, It is contemplated that said work be carried out by the parties hereto under e the provisions of Minnesota Statutes 1992, Section 162.17, Subdivision 1 and Section 471.59. NOW THEREFORE, IT IS HEREBY AGREED: I The development of this Project and the means by which the construction plans have been created are integral to and have a direct bearing on some of the conditions set forth herein. The following Project development chronological summary is included so that an understanding of key events and actions is established, thereby making references to them elsewhere in this Agreement less cumbersome and more lUlderstandable. A preliminary layout for the reconstruction of CSAH 3 between TH 169 and CSAH 20 was prepared by the County and approved by the City in September 1999. In March 2000 the COlUlty entered into a contract with the consultant engineering firm Enviroscience, Inc., hereinafter also referred to as the "County's consultant", for the development of plans and specifications for the reconstruction ofCSAH 3 between TH 169 and CSAH 20. During the time Enviroscience, Inc., was designing the Project the City began discussing . the redevelopment of the site located in the northeast quadrant of the TH 169/CSAH 3 - 2 - - -- Agreement No. PW 19-27-02 . CSAH 3; C.P. 9227 interchange with the Medica Corporation. The County was made aware of the pending redevelopment in December 2000. Due to the preliminary nature of the redevelopment discussions the County continued to have the Project designed by its consultant in accordance with the layout previously approved by the City. In February 2001 the City and the County jointly decided to expand the Project scope to include improvements to Jackson Avenue and its intersection with CSAH 3 to accommodate the pending redevelopment of the property located north and west of said roadways. At the time of this decision the plans being prepared by the County's Consultant were approximately 95% complete. The County's consultant completed the plans to 100% in April 2001. As a result of discussions between the County and City staffs, the City entered into a contract with the consultant engineering firm Bolton & Menk, Inc., hereinafter also referred to as the "City's consultant", in June 2001 for the development of plans and specifications for the Project as necessary to supplement and modify those previously prepared by the County's consultant so as to bring about the revisions desired by the City. In August 2001 the City approved a revised preliminary layout for the Project which was prepared by the City's consultant and incorporated revisions to accommodate the aforereferenced . redevelopment as well as other revisions desired by the City. In December 2001 the City approved the final plans for the Project. The final plans include design work completed by both the County's consultant and the City's consultant. In addition to the aforereferenced inclusion of the Jackson Avenue reconstruction and a signalized intersection with CSAH 3 the plans prepared by the City's consultant also include the reconstruction of Milwaukee Street between TH 169 and CSAH 3, the construction of a parking lot under the elevated TH 169 roadway, the construction of municipal alley connections, and landscape/streetscape improvements. II The County will advertise for bids for the work and construction of the Project, receive and open bids pursuant to said advertisement and enter into a contract with the successful bidder at the unit prices specified in the bid of such bidder, according to law provided for Counties. The Contract will include the aforereferenced plans and specifications prepared through the combined work of the City's consultant and the County's consultant, and which have been approved by the City. The Contract will also contain the plans and specifications for revisions to the City's water distribution system, and for the construction oflandscaping and streetscaping improvements, all ofwruch the City had completed under additional separate contracts. . - 3 - - Agreement No. PW 19-27-02 CSAH 3; C.P. 9227 . III The County will administer the contract and inspect the construction of the Project. However, the City Engineer shall cooperate with the County Engineer and the County's Transportation Department staff at their request to the extent necessary, but will have no responsibility for the supervision of the work. The City agrees that the County may make changes in the aforereferenced approved plans or in the character of said contract construction which are reasonably necessary to cause said construction to be in all things performed and completed in a satisfactory manner. It is further agreed by the City that the County may enter into any change orders or supplemental agreements with the County's contractor for the performance of any additional construction or construction occasioned by any necessary, advantageous or desirable changes in plans, within the original scope of the Project. Said changes may result in an increase or decrease to the City's cost participation estimated herein. The City shall have the right to review any changes to the plans and specifications when they relate to the City's cost participation or work on City owned facilities. The City Engineer shall have the right to approve any change orders or supplemental agreements prepared by the County that affect the City's share of the construction cost or any work that will be the City's to e own and maintain upon the completion of the Project. The City further agrees that it will participate in the settlement of any claims from the County's Contractor that involve project delays attributable to delays in approval by the City for plan or specification changes deemed necessary by the County Engineer or his staff. The amount of participation by the City in any such claims shall be commensurate with the percentage of delay directly attributable to its actions. . IV The responsibility for the acquisition of the temporary easements and permanent right of way required to construct the Project shall be divided between the City and the County on a parcel basis as set forth herein. Parcel identification numbers are denoted in the right of way sheets ofthe aforementioned plans, which are attached hereto, marked Exhibit "B", and by this reference made a part hereof. The City shall be responsible for the acquisition ofthe required interests in parcels No.1, 2,28,29,30,31,32,33,34 and 35. The County shall be responsible for the acquisition of the required interests in parcels No. 3,4,5,6, 7,8,9, 10, 11, 12, 13, 14, 15, 16, 17, 18, 19,20,21,22,23,24,25,26, and 27. It is understood that parcels No.3, 4,5,6, 7, 8, 9, 10, and 11 are to be acquired in total. . - 4- - Agreement No. PW 19-27-02 . CSAH 3; C.P. 9227 The creation of parcel remnants which do not conform with City building requirements will not be cause for a total acquisition. The City will provide property owners with the necessary variances where feasible to allow the owners to maintain the present use of the property. It is hereby understood that the phrase "responsible for the acquisition of' as used herein shall be construed to mean the performance of all tasks and duties necessary and legally required to obtain the right to use the subject property for the purposes set forth in this Agreement. Said rights may be obtained by, but are not limited to, direct purchase, dedication, donation or eminent domain. Each party is hereby obligated to provide all resources necessary to complete the hereinbefore defined and assigned acquisitions. Either party may contract with independent and qualified appraisers, property acquisition and relocation consultants as they may deem necessary to fulfill their obligations. V The acquisition costs incurred by the City and the County as described herein shall include, but are not limited to the following: e . monies paid to property owners, or on behalf of property owners, as part of negotiated settlements . costs incurred with obtaining property through, and compliance with, Minnesota Statute Chapter 117 (eminent domain), including all damages and awards resulting therefrom . relocation expenses, including the costs of consultants used therefor . appraisals and appraisal services . title opinions and updates . docwnent searches Gudgment, name title, etc) . closing, conveyance and recordation fees and taxes . costs to maintain, provide security for, or remove and dispose of vacant property, and any improvements thereon . costs incurred for the relocation, reconstruction, adjustment, and/or removal of existing private or public utility conduits or other structures located in or upon lands acquired and within present right of way when existing valid easements and/or permits provide for reimbursement to the utility owner for the relocation, reconstruction, adjustment, andlor removal of the existing utility facilities Specifically excluded from the above listing are any costs incurred by the acquiring party for their respective personnel costs, attorneys' fees, and the costs of any consultants employed by them for the sole purpose of negotiating acquisitions directly with property owners. All such . costs for personnel, attorneys, and consultants shall be the sole responsibility of the acquiring party. - 5 - - Agreement No. PW 19-27-02 CSAH 3; c.P. 9227 . Damages, as used in this section, pertains to acquisition costs allowed by Minnesota Statute Chapter 117 and does not abrogate the meaning ofthe language set forth elsewhere in this Agreement. VI The City shall reimburse the County fifty (50) percent of all costs incurred by the County in the acquisition of the necessary right of way and temporary easements from Parcels No. 12, 13, 14,21,22,23,24,25,26 and 27, and the total acquisitions of Parcels No.3, 4, 5, 6,7,8,9, 10, and 11. The City shall reimburse the County sixty (60) percent of all costs incurred by the County in the acquisition of the necessary right of way, and temporary and permanent easements from Parcels No. 15, 16, 17, 18, 19, and 20. It is understood and agreed that the larger than normal City share of the acquisition costs for these parcels is proportionate to increases in the right of way and easements required on these properties to construct streets cape elements included in the Project at the request of the City. The total acquisitions of Parcels No.3, 4,5,6, and 7 will result in remnant portions which are not required for the Project, but which the City desires to enhance as a continuance of the e roadway streets cape elements included ill the Project. The County will convey ownership of these parcels to the City and retain easements over those portions of said parcels required as right of way for CSAH 3. The City, in consideration for the receipt of said parcel remnants, shall pay the County amounts computed in accordance with the following; which are in addition to the City's share of the acquisition costs for the same parcels as set forth in the fIrst paragraph ofthis Article. Said additional payments for each of the nine parcels purchased in total shall be equal to fifty (50) percent of the average of the "Land Value" as estimated in the certified appraisals used to acquire the same parcel, pro-rated for that portioll of the parcel area conveyed to the City. The total acquisitions of Parcels No.8, 9, 10 and 11 will result in remnant portions of Parcels No.8 and 9 which are not required for the Project. Parcels No. 10 and 11 are not required for the construction of the Project but are to be acquired in conjunction with Parcels No. 8 and 9 as the present land use of all four parcels is interrelated and they are all owned by the same property owner. The City hereby recognizes that these remnant and excess parcels may have value as mitigation for other property to be acquired from The Blake School for the construction of the Project. The City therefore agrees that the County may offer the remnants of Parcels No.8 and 9, and Parcels No.1 0 and 11 in their entirety to The Blake School as mitigation land as part of the County's negotiations with The Blake School for the acquisition of other parcels identified herein from said property owner for the construction of the Project. The City further agrees that in the event the County determines the use of said parcels as mitigation land is not beneficial, the County will convey ownership of these parcels to the City, retaining easements over those portions of Parcels No.8 and 9 required as right of way for CSAH 3. The . City, in consideration for the receipt ofthe remnants of Parcels NO.8 and 9, and Parcels No. 10 and 11 in total, shall then pay the County an additional amount equal to fifty (50) percent of the - 6 - - --. ----.. CSAH 3; C.P. 9227 average of the "Land Value" as estimated in the certified appraisals used to acquire said parcels, pio-rated for the portions of said four parcels conveyed to the City. The County will reimburse the City fifteen (15) percent of all costs incurred by the City in the acquisition of the necessary right of way and temporary easements from Parcels No.1 and 2. It is understood and agreed that the larger than normal City share of the acquisition costs for these parcels is proportionate to increases in the right of way and easements required on these properties to reconstruct Jackson Avenue and Milwaukee Street as designed by the City's consultant and added to the plans prepared by the County's consultant. All costs incurred by the City for the acquisition of the necessary right of way and temporary easements from Parcels No. 28, 29, 30, 31, 32, 33, 34 and 35 shall be borne one hundred (100) percent by the City.. The County will not reimburse the City for any costs incurred in the acquisition of said parcels. The City agrees to grant easements to the County over those lands that are a part of the required right of way for the Project, which the City presently owns and/or has property rights over on, and those which the City will be acquiring for the Project. Said easements shall be granted at no cost to the County. The County will provide those portions of lands it owns which . are required as right of way for the Project at no cost to the City. It is understood that the Hennepin County Regional Rail Authority (HCRRA) shall not be construed in any manner to be part of the "County" in any part of this Agreement. HCRRA is a separate legal body from the County. Any right of way and/or easements required for the construction oithis Project on lands owned by HCRRA (Parcel No.1) must be negotiated and acquired by the City in the same manner as any other property owner. VII The County will periodically, as properties are acquired, prepare and submit to the City invoices with itemized statements documenting the actual acquisition costs incurred by the County. The City's share of said costs as stated on the invoice shall become due and payable within forty five (45) days after receipt of said invoice. The estimated right of way expenses described herein are indicated in Exhibit nA", hereto. . - 7 - - Agreement No. PW 19-27-02 CSAH 3; c.P. 9227 . VIII The City hereby recognizes that the County has purchased some of the right of way parcels required for the Project and has razed some of the buildings on these parcels with the County's own forces. It is understood that said work has been performed by the County in accordance with the City approved layout for the proposed Project. It is further understood that all costs incurred by the County in the demolition of buildings as required for the Project, including but not limited to actual demolition costs, survey and abatement costs for asbestos and hazardous building materials, underground tank removal costs, and disposal costs, shall be considered right of way acquisition costs as defined in Article V hereof and therefore shall be shared equally by the County and the City. The City agrees to reimburse the County fifty (50) percent of all such costs that the County has already incurred, as well as future costs that the County will incur in the completion of the building demolition work as required to complete the construction of the Proj ect. The building demolition and associated costs are indicated in Exhibit "A" hereof. IX The County, at its sole cost and expense, has conducted a Phase 1 Environmental . Assessment (ESA) on the Project. As a result of the findings of said environmental assessment the County also conducted a Petroleum Release Investigation on selected parcels within the limits of the Project and will be preparing a Construction Contingency Plan to ensure proper handling and disposal of petroleum impacted soils that may be encountered during the construction of the Project. In addition, it is understood that Phase II ESAs may still be required on parcels within the Project limits. In the event a Phase II ESA is required on any parcel it is hereby understood and agreed that the County will assume the responsibility to. have the Phase II ESA completed. If any such Phase II ESA identifies contamination within the new right of way for the Project that must be abated, the County will hire consultants and contractors as necessary to perform the necessary abatement of the roadway right of way and obtain approval of the Minnesota Pollution Control Agency. Any such abatement required may be accomplished under a separate project or may be included in the Project. The County will investigate and exhaust all available options for payment of costs incurred related to the aforereferenced Petroleum Release Investigation, Construction Contingency Plan, and any required Phase II ESA. This includes, but is not limited to, responsible parties and governmental agencies. The City hereby agrees to reimburse the County fifty (50) percent of all costs incurred by the County for the completion of the aforereferenced environmental work performed on parcels associated with this Project for which the County does not receive reimbursement from other sources. The estimated costs to complete the aforesaid environmental work are identified in Exhibit "A" hereto. . - 8 - - . Agreement No. PW 19-27-02 . CSAH 3; C.P. 9227 X The City shall reimburse the County for its share in the construction costs ofthe contract work for said Project. The total final contract construction costs shall be apportioned as set forth in the Cost Participation Summary as shown in said Exhibit "A". It is understood that the City's proportionate share of the contract construction costs includes costs associated with the inclusion of the signalized intersection on CSAH 3 at Jackson Ave./Milwaukee St. and other costs resulting from the redesign ofthe west end of the Project by the City's consultant. Due to the circumstances and the means by which the final plans and estimated quantities for this Project have been developed, the rationale used to determine the proportionate splits of the estimated quantities in Exhibit "A" is not apparent. The following narrative explains the rationale used to split the estimated quantities in ExhibitI1A", and establishes the terms by which th'e proportionate shares of the quantities of work on this Project are to be split between the County and the City. The foundation for the proportionate splits of the contract construction costs on this Project is the plan that was completed by the County's consultant in April 2001. It is hereby understood and agreed that all cost increases resulting from the revisions made to the aforesaid plans by the City's consultant are the City's responsibility. However, simply limiting the County's share of the construction contract pay items to the estimated quantities contained in the plans prepared by the . County's consultant could result in the City paying a disproportionate share of the work in the event the County's Engineer in charge ofthe Project implements changes to the construction as provided in Article III hereof. Therefore, the proportionate shares of the estimated quantities included in Exhibit 'A' have been determined in accordance with the following terms, which shall also govern the apportionment of the final quantities of work incorporated into the Project. Included in Exhibit' A', on Sheet 3 of 6, is a diagram of the Project area which contains a line denoted as the "Cost Participation Line". The location of this line represents an equitable split ofthe contract construction costs based on the difference between the final plans for the Project developed by the City's consultant and the plans originally developed by the County's consultant. The use of the aforereferenced Cost Participation Line for determining the proportional shares in the Proj ect provides a simplified and equitable means by which to account for the actual quantities of work incorporated into the Project, including additional costs that may result from changes during construction. It is therefore hereby agreed that the proportionate shares of the contract construction costs for this Project shall be split between the County and the City according to the following: lA. All work on the Project that lies west of the north/south line traversing CSAH 3 between TH 169 and the Jackson Avenue/Milwaukee Street intersection shall be funded one hundred (100) percent by the City. IE. All work on the Project that lies north of the east/west line on the north side of . CSAH 3 between the west end of the Project and Tyler Avenue shall be funded one hundred (100) percent by the City. - 9 - - Agreement No. PW 19-27-02 CSAH 3; c.P. 9227 . Ie. All work on the Project that lies south of the east/west line south of CSAH 3 between the west end of the Project and the centerline of Harrison Avenue shall be funded one hundred (100) percent by the City. lD. All work on the actual CSAH 3 portion of the Project that lies within the area bounded by the aforedescribed lines, as well as the remainder ofthe Project extending to the east beyond the termini of said lines shall be split between the County and the City in accordance with the "Hennepin County Transportation Department Policies for Cost Participation Between Hennepin County and Other Agencies for Cooperative Highway Projects", which by this reference is made a part hereof as though fully set forth herein and is also herein after referred to as the "County's Cost Participation Policy". It is understood that the detailed Engineer's Estimate in Exhibit 'A' contains notes governing the application of the County's Cost Participation Policy for some of the pay items included in the Project. The application ofthe afore established cost participation methodology has resulted in the identification of proportional share splits in Exhibit 'A' for which additional commentary is necessary to ensure complete understanding and agreement. They are as follows: 2A. Within the detailed Engineer's Estimate included in Exhibit "Nt hereof the . proportional quantity splits for some pay items have been identified with the word "TAB" in lieu of an established percentage. The word TAB in this instance is in reference to the tabulation included in the final plans for the Project wherein the specific locations of the work and the portion ofthe estimated quantity to be completed at each location is identified. This approach has been used because a split ofthe quantities based solely on percentages can not be assigned due to the fact that the actual location of the work governs in determining which party is responsible to pay for the work. The subsections (lA, lB, lC, and lD) of the immediately preceding paragraph govern the proportional splits for all pay items denoted with the word "TAB". 2B. Within the detailed Engineer's Estimate included in Exhibit 'A' hereof are pay items which are designated as 88% County and 12% City. These pay items are either lump sum items or ones for which specific locations have not been identified in tabulations in the Plans. The proportionate split of 88% County and 12% City is based on the relative lengths of the CSAH 3 roadway that lie on either side ofthe afore established north/south Cost Participation Line traversing CSAH 3 in the aforereferenced diagram in Exhibit "A". The proportionate split of 88% County and 12% City for all pay items so denoted in Exhibit "A" is for estimating purposes only. The final actual quantities for these same items of work incorporated into the Project shall be split in accordance with subsections lA, IE, lC, and ID set forth previously herein. . - 10 - - Agreement No. PW 19-27-02 . CSAH 3; c.P. 9227 3B. Within the detailed Engineer's Estimate included in Exhibit "A" hereof are pay items which are designated as 46% County with the remainder assigned to the City. These pay items are the "pro-rata" items for which the percentage split is dependent on the proportional split of all other pay items included in the Project, as per the County's Cost Participation Policy. The percentages for all pro-rata items shall remain unchanged from those set forth in Exhibit 'A' and shall be applied to the final actual quantities for these same items incorporated into the Proj ecl. It is understood that the Engineer's Estimate included and referenced in this Agreement is an estimate of the construction costs for the contract work on said Project and that the unit prices set forth in the Contract with the successful bidder and the final quantities as measured by the County Engineer or a designated representative shall govern in computing the total final Contract construction cost for apportioning the cost of said Project according to the provisions herein. XI The construction ofthis Project necessitates the reconstruction of the existing at-grade railroad crossing located on CSAH 3 at the intersection with Milwaukee Street and Jackson Avenue. The County has prepared and will enter into an agreement with the Soo Line Railroad . Company (d/b/a! Canadian Pacific Railway), hereinafter referred to as the "Railroad", for the installation of the new surface crossing materials, roadway gates, and flashing light warning devices required at said intersection. The Railroad will complete the aforereferenced work in conjunction with the construction of the Project. The Railroad has estimated the costs to complete the aforereferenced work in the amounts of $260,755.00 for the at-grade crossing surfacing and $243,552.00 for the necessary safety and warning devices. Copies of the Railroad's estimates are attached hereto, marked Exhibit "C"; sheets 1 and 2 respectively, and by this reference made a part hereof. It is hereby recognized and understood that the aforelisted amounts, totaling $504,307.00, represent the Railroad's estimate of the costs to replace the at-grade crossing and install the safety and warning devices required to accommodate the Jackson A venuelMilwaukee Street intersection with CSAH 3 as designed in the final plans for the Project. It is further understood that the design of said intersection included in the final plans for the Proj ect was prepared by the City's consultant as a result ofpendiug redevelopment in the vicinity and the addition of the Milwaukee Street reconstruction to the scope ofthe Project. As established in Article I of this Agreement, when the decision was made to revise the scope ofthe Project and include a signalized intersection on CSAH 3 at Jackson Avenue/Milwaukee Street the plans that the County's consultant was preparing for the Project were essentially 95% complete. Based on the design included in the plans developed by the County's consultant, the Railroad had prepared and submitted an estimate in the total amount of . $99,611.00 for the completion of all work necessary to extend the existing at-grade crossing of its trackage with CSAH 3 and to relocate the existing safety and warning devices as necessary. Copies of the aforereferenced Railroad's estimate, in two separate amounts of $46,856.00 for the - 11 - - Agreement No. PW 19-27-02 CSAH 3; c.P. 9227 . at-grade crossing extension and $52,755.00 for the roadway safety devices, are attached hereto, marked Exhibit "D"; Sheets 1 and 2 respectively, and by this reference made a part hereof. The difference between the totals of the Railroad's estimates is $404,696.00. It is hereby understood and agreed that said difference is the direct result of the change in the scope and design of the Project and the at-grade railroad crossing itselfthat occurred when the decision was made to include a signalized intersection on CSAH 3 at the Jackson AvenueIMilwaukee Street location due to the pending redevelopment of the property in the northwest quadrant of said intersection. Therefore, the City hereby agrees to be responsible for all costs in excess of $99,611.00 that the Railroad invoices the Cmmty under the terms of the aforesaid separate Hennepin County Agreement No PW 63-85-01 for the completion of all work, services, and materials necessary to complete the replacement of the at-grade crossing with a longer crossing surface and to complete the installation of the required roadway gates and flashing light warning devices at said intersection. It is understood that the County will be responsible to make all payments to the Railroad for the completion of the aforesaid work as provided in Hennepin County Agreement No. PW 63-85-01. The City hereby agrees to reimburse the County for all costs incurred under said agreement in excess of $99,611.00. The County will invoice the City separately for the reimbursement of said costs as the work is completed by the Railroad and the County is invoiced . by the Railroad for payment. The City shall pay to the County the full amount due on the invoices submitted to the City within forty five (45) days of the invoice date for such invoices. XII At the request of the City the median islands to be constructed on CSAH 3 as part of the Project include streetscaping elements of concrete pavers and vegetation in locations where the County would otherwise normally construct concrete surfacing at its sole cost. As set forth in Exhibit "A" of this Agreement, the City shall be responsible for the construction costs in the Project for the streetscaping elements within the medians on CSAH 3. The County hereby agrees to credit the City's total share ofthe construction costs for the Project in an amount equal to that which the County would normally pay for the construction of concrete surfacing in the CSAH 3 medians. Said credit shall be determined by multiplying the unit price per square meter for the pay item "100 mm Concrete Walk", as established in the actual construction contract for the Project, by the quantity of 3173 square meters. It is understood that said quantity of 3173 square meters is hereby established as the total area within the medians on CSAH 3 where the County would normally construct concrete smfacing and that said quantity shall remain unchanged and shall be used to compute the actual amount of credit to the City. The afore set forth credit is shown in Exhibit "A" at the estimated amount of $95,190.00, which is based on an estimated unit price of $30.00 per square meter for the 100 rom Concrete . - 12 - - Agreement No. PW 19-27-02 . CSAH 3; C.P. 9227 Walk pay item. The actual amount of credit shall be detennined using the actual construction contract unit price for the "100 nun Concrete Walk" pay item multiplied by 3173 square meters.. XIll In addition to the aforesaid credit for the medians on CSAH 3, the County will also give the City a credit associated with street lighting on this Project. All of the street lighting that presently exists on CSAH 3 throughout the limits of this Project needs to be relocated to fit the new roadway design. The City has decided however, to replace the existing street lighting units I with new ones that better complement the streetscaping elements incorporated into the Project, I rather than have the existing units relocated. It is understood that the installation of the new street lighting system for this portion of CSAH 3 will be completed by Xcel Energy under a separate contract with the City. While the installation ofthe new lighting system will need to be coordinated with the construction activities of the Project, it will not be a part ofthe construction contract administered by the County. The Project does include salvaging of the existing street lighting units, which will be delivered to the City. . Under the County's Cost Participation Policy all costs to relocate existing street lighting in conjunction with the reconstruction of a roadway are the responsibility of the County. Therefore, all costs to salvage and deliver the existing street light standards shall be paid 100% by the County. Since the Project does not include the reinstallation of these same light standards, the County hereby agrees to give a credit to the City in an amount representative of the reasonable cost that would be the County's responsibility if the salvaged light standard were to be reinstalled as part of said Project. It is hereby understood and agreed that the aforesaid credit to the City for street lighting shall be $12,000.00. It is further understood that said credit amount is based on the reasonable estimated unit price of$300.00/each to reinstall each of the forty lighting standards to be salvaged and returned to the City as a part of the Project. It is further understood and agreed that said credit amount is the total and final amount of credit that the City will receive from the County in association with street lighting for this Project. XIV The County, through its Roadside Enhancement Partnership Program, will participate in a proportionate share of the construction costs to install trees, shrubs, and an irrigation system along CSAH 3 as part of this Project. As set forth in the County's Cost Participation Policy the County's proportionate share of the construction costs eligible for this funding source shall be thirty three (33) percent, and shall not exceed the amount of$161,500.00 (based on a maximum . County contribution of$200,000.00 per centerline mile). - 13 - - --- -- -- - - -- -- Agreement No. PW 19-27-02 CSAH 3; c.P. 9227 . Included in Exhibit "A" is the estimated amount of$82,638.60 which represents the County's proportionate share ofthe landscape work to be constructed as a part of this Project. It is hereby understood that the actual amount of the County's participation shall be determined using the actual Contract unit prices for the eligible pay items and the actual quantities of work completed on the Project, subject to the aforesaid stated percentage and maximum participation amount. It is also understood that plantings installed along Jackson Avenue and Milwaukee Street are not eligible for County participation. XV As established in Article I hereof, the development of the plans and specifications for this Project have not been accomplished in a straight forward traditional approach. The County hereby acknowledges that the City has already incurred costs and made payments for those portions of the design of the Project that has been completed by the various consultants hired by the City. Therefore, the traditional distribution of design engineering costs with a simple formula based on the final quantities of work incorporated into the Project is not applicable. The City hereby acknowledges and agrees that a portion of the original design ofthe Project as completed by the County's consultant is incorporated into the final Plans for the Project and therefore the City hereby agrees to reimburse the County for a proportionate share of e design engineering costs incurred by the County for the plans prepared by the County's consultant. The City hereby agrees to pay to the County the negotiated lump sum amount of $41,737.47 as the City's total and final share cfthe design engineering costs incurred by the County in the development of this Project. The calculations used to determine the aforestated negotiated lump sum payment are included in Exhibit 'E' attached hereto, and by this reference made a part hereof. The City agrees that all costs incurred by the City in hiring the consultant engineering firm of Bolton & Menk, Inc. to revise the plans originally prepared for the Project by the County's consultant shall be borne entirely by the City. The County shall not reimburse the City for any such costs incurred. The City further agrees that all costs incurred by the City for the development ofthe plans and specifications for the water distribution system improvements, landscaping and streetscaping improvements, and street lighting improvements to be included in the Project shall be borne entirely by the City. The County shall not participate in any such costs incurred by the City. XVI In addition to payment of the City's proportionate share of the contract construction cost, design costs, and other costs as set forth herein, the City agrees to reimburse the County a sum equal to eight percent (8%) of the amount computed as the City's share of the contract . construction cost for the Project. It is understood that said additional reimbursement by the City - 14 - - -" Agreement No. PW 19-27-02 . CSAH 3; C.P. 9227 is its proportionate share of all construction engineering costs incurred by the County in connection with the work performed under this Agreement. XVII The County will supply the traffic signal controllers, control equipment and cabinets (County Supplied Equipment) for the Project. Therefore, in addition to the aforesaid proportionate shares of contract construction and engineering costs the City also agrees to reimburse the County for its proportionate share of the costs of the County Supplied Equipment. Said proportionate share ofthe County Supplied Equipment shall be equal to the City's proportionate share of the contract signal work. An estimate of the City's share of County Supplied Equipment is incorporated into Exhibit HAt!. It is further agreed that said estimate of the costs of County Supplied Equipment is an estimate and that the actual quantities of equipment as determined by the County Engineer or a designated representative shall govern in computing the total final apportionment of cost participation by the City in the County Supplied Equipment. The County will invoice the City separately for said County Supplied Equipment. Payment shall be made to the County by the City for the full amount due on said invoice within . forty five (45) days of the invoice date. XVIII After an award by the County to the successful bidder on the Project, the County will invoice the City for ninety five (95) percent of the estimated City share in the contract construction and construction engineering costs for the Project, plus one hundred (l 00) percent of the City's proportionate shares of the design engineering, building demolition, and Phase II Environment Studies costs incurred by the County for the Project, less the full amount of the credits due the City as set forth elsewhere herein. Payment shall be made to the County, in the name of the Hennepin County Treasurer, by the City for the full amount due stated on the invoice within forty five (45) days of the invoice date. Said estimated City share shall be based on actual contract unit prices applied to the estimated quantities shown in the plans. In the event the County Engineer or the County's Transportation Department staff determines the need to amend the construction contract during the construction of the Project with a supplemental agreement or change order which results in an increase in the contract amount for the Project, the City hereby agrees to remit within forty five (45) days of notification by the County of said change an amount equal to ninety five (95) percent of the estimated City share as documented in the supplemental agreement or change order. The remainder ofthe City's share in the engineering cost and contract construction costs, . including additional costs resulting from supplemental agreements and change orders, will be due the County upon the completion of the Project and submittal to the City of the County Engineers final estimate for the Project. - 15 - - ---- ---- - -- --- - - --- -- -- Agreement No. PW 19-27-02 CSAH 3; c.P. 9227 . Upon final payment to the Contractor by the County, any amount remaining as a balance in the deposit account will be returned to the City; likewise, any amount due the County from the City upon fmal payment by the County shall be paid by the City as its final payment for the construction and engineering costs of said Project within forty five (45) days of receipt of an invoice from the County. XIX All payments to the County must be postmarked by the date due or a late penalty of one (1) percent per month, or fraction thereof, on the unpaid balance will be charged to the City. The City shall pay the amount due as stated on the invoice, notwithstanding any dispute of such amount. Should a disputed amount be resolved in favor of the City, the County shall reimburse the disputed amount plus daily interest thereon calculated from the date such disputed amount was received by the County. Daily interest shall be at the rate of one (1) percent per month on the disputed amount. XX The County will prepare weekly progress reports for the Project as provided in the e specifications. Copies of these reports will be furnished to the City upon request. K.XI All records kept by the City and the County with respect to the Project shall be subject to examination by the representatives of each party hereto. XXII The County reserves the right not to issue any permits for a period of five (5) years after completion of said Project for any service cuts in the roadway surfacing of the County Highways included in this Project for any installation of underground utilities which would be considered as new work; service cuts shall be allowed for the maintenance and repair of any existing underground utilities. XXIII It is agreed that the City shall, at its own expense, remove and replace all City owned signs that are within the construction limits of this Project and which are not to be removed as a part of this Project. Removal and replacement operations shall be coordinated with the construction activities through the County's Project Engineer. . - 16 - - --- -- -- -" Agreement No. PW 19-27-02 . CSAH 3; c.p, 9227 XXIV As a part of said Project, the County shall place the necessary signs and the City, at its expense, shall provide the enforcement for the prohibition of on-street parking on those portions of CSAH 3 constructed W1der said Project, recognizing the concurrent jurisdiction ofthe Sheriff of Hennepin County. Any modification of the above parking restrictions shall not be made without first obtaining a resolution from the County Board of Commissioners permitting said modification. XXV The City agrees that any City license required to perform electrical work within the City shall be issued to the Contractor or the County at no cost to the Contractor or the County. Electrical inspection fees shall not be more than those established by the State Board of Electricity in the most recently recorded Electrical Inspection Fee Schedule. XXVI . The City, at its sole cost and expense, shall install or cause the installation of adequate three wire, 120/240 volt, single phase, alternating current electrical power connections to all the traffic control signals with integral street lights constructed as a part of said Project. Further, the City shall provide the electrical energy for the operation of the said traffic control signals and integral street lights at no cost to the County. XXVII The City shall not revise by addition or deletion, nor alter or adjust any component, part, sequence, or timing of the aforesaid traffic control signals, however, nothing herein shall prohibit prompt, prudent action by properly constituted authorities in situations where a part of such traffic control signals may be directly involved in an emergency. XXVllI Upon completion ofthis Project, the County shall thereafter maintain and repair said traffic control signal system installed as part of said Project, all at the sole cost and expense of the County. Said maintenance shall include all components ofthe EVP Systems. Further, the County, at its expense, shall maintain 110 volt power to the line side of the fuse in the base of the signal poles for the integral street lights. The City, at its expense, shall maintain the fuse, the luminaire and the wire to the load side of the fuse in the base of the signal poles. . The EVP Systems provided for in this Agreement shall be installed, operated, maintained or removed in accordance with the following conditions and requirements: ~ 17 - - -- -- -.- - -- -- - Agreement No. PW 19-27-02 CSAR 3; c.P. 9227 . (1) Emitter units may be installed and used only on vehicles responding to an emergency as defined in Minnesota Statutes Chapter 169.01, Subdivision 5 and 169.03. The City will provide the County Engineer or his duly appointed representative a list of all such vehicles with emitter units. (2) Malfunctions of the EVP Systems shall be reported to the County immediately. (3) In the event said EVP Systems or components are, in the opinion of the County, being misused or the conditions set forth herein are violated, and such misuse or violation continues after receipt by the City of written notice thereof from the County, the County shall remove the EVP System. Upon removal of the EVP System pursuant to this paragraph, the field wiring, cabinet wiring, detector receivers, infrared detector heads and indicator lamps and all other components shall become the property of the County. (4) All timing of said EVP Systems shall be determined by the County. XXIX It will be necessary to detour CSAH 3 traffic during the construction of this Project to allow the Railroad to complete the installation ofthe new at-grade crossing surfacing. The . detour route, which utilizes Trunk Highways and County State Aid Highways, is identified in the plans. All guide signs and regulatory signs required for the detour shall be furnished, installed, maintained, and removed by the County's contractor as part of the Project. The County will not be responsible for any damage caused by increased traffic on city streets not marked as the official detour. XXX Each party agrees that it will be responsible for its own acts and the results thereof, to the extent authorized by law, and shall not be responsible for the acts ofthe other party and the results thereof. The County and the City's liability is governed by the provisions of Minnesota Statutes, Chapter 466. The County and the City each warrant that they are able to comply with the aforementioned indemnity requirements through an insurance or self-insurance program. XXXI It is understood and agreed that upon completion of the Project, all street lighting, bituminous trails, concrete sidewalks, water distribution system components, sanitary sewer system components, irrigation systems, wooden fences, retaining walls, trees, shrubs, pavers, storm water . quality structures, municipal street construction, and all items shown on the plan sheets identified as "Landscape and Streetscape Improvements" that are included in said Project shall become the ~ 18 - - -" -" ---- -- Agreement No. PW 19-27-02 . CSAH 3; C.P. 9227 pr~perty of the City and all maintenance, restoration, repair or replacement required thereafter shall be performed by the City at no expense to the County. XXXII It is hereby understood that the County requires an operational clear zone behind the face of curb for storage of snow removed from County roadways. The City hereby agrees to be responsible for the removal of any snow, that the City deems necessary to remove, which may be placed on its sidewalks and/or pedestrian/bicycle paths as a result of the County's snow removal operations on the County's roadways within the limits ofsaid Project. XXXill Upon completion of the Project the County shall, at its own cost and expense, retain ownership and maintenance responsibilities for those portions ofthe roadway storm sewer drainage system functioning as catch basins and their associated lead pipes that are within or between the outermost curblines of the County roadways and also those within the radius return limits of intersecting municipal streets. All other components of the roadway storm sewer drainage system, constructed as a part of this Project including but not limited to all trunk lines, . and water quality structures, regardless of their location within County right of way, shall become the property ofthe City and all maintenance, restoration or repair required thereafter shall be performed by the City at no cost to the County. XXXVII The City hereby agrees that the County will revoke the designation of CSAH 20 (Blake Road) as a County State Aid Highway within the City between the south limits ofthe City and CSAH 3 and furthermore, that the City will accept jurisdiction of said roadway under the provisions of Miooesota Statutes 1992, Section 162.02. The City agrees to accept the conveyance of said roadway subject to all existing encumbrances such as, but not necessarily limited to, permits and easements. ~XXVIlI Upon approval of this Agreement, the County will request that the Commissioner of the Minnesota Department of Transportation remove the above identified County roadway from the County State Aid Highway System. The City, by this Agreement, concurs in this change of designation and jurisdiction. . - 20- - -. - - -. - Agreement No. PW 19-27-02 . CSAH 3; C.P. 9227 XXXIX Transfer of the aforesaid roadway to the City shall occur and become effective on the first day of the month immediately following the approval ofthe CSAH designation change by the Commissioner of the Minnesota Department of Transportation as immediately hereinbefore set forth. XL The County shall provide the City with the following information and records, to the extent that they are available for the roadway transferred to the City. 1. As-built construction plans, and microfilm records. 2. Bridge inspection reports and ratings. 3. Inventory data. 4. History of most recent betterments. XLI Upon transfer to the City of the route hereinbefore identified in Article XXXVII, the City . hereby agrees to do and perform all roadway and other maintenance at its sole cost and expense. XLII It is understood and agreed that the entire agreement between the parties is contained herein and that this Agreement supersedes all oral agreements and negotiations between the parties relating to the subject matter hereof. All items referred to in this Agreement are incorporated or attached and are deemed to be part oftrus Agreement. Any alterations, variations, modifications, or waivers of provisions of this Agreement shall only be valid when they have been reduced to writing as an amendment to this Agreement signed by the parties hereto. XLIII The provisions of Minnesota Statutes 181.59 and of any applicable local ordinance relating to civil rights and discrimination and the Afftrmative Action Policy statement of Hennepin County shall be considered a part of this Agreement as though fully set forth herein. DETERMINATiON OF CITY'S PROPORTIONATE SHARE OF DESIGN COSTS INCURRED BY THE COUNTY Original Project construction cost estimate as prepared by Enviroscience in April 2001: City's proportionate share: $ 1,125,119.05 County's orooortionate share: $ 2.503.033.20 Total Estimated Cost: $ 3,628,152.25 Included in the above listed City's proportionate share of the costs are the construction costs for watermain and landscape/steetscape elements incorporated into the Project but which were not designed by the County's consultant. Subtracting these costs out as follows results in a net City cost of: City's proportionate share of construction contract: $ 1,125,190.05 less watermain items (designed by City consultant): $ 175,961.50 less landscaoe/streetscaoe items (desianed bv City consultant): $ 585.054.00 City's proportionale share of original construction cost as designed and estimated by County's consultant: $ 364,103.55 , . Dividing the above determined City's proportionate share of the construction cost by . the total construction cost, both as originally estimated by the County's consultant, yields the percentage of : $ 364.103.55 X 100% = 10% $ 3,628,152.25 which can also be used to represent the City's pr6portionate share of the original design services completed by the County's consultant. Multiplying this percentage by the amount of the original County design services contract yields the amount of : $ 229,991.70 X 10% = $ 22,999.17 In addition to the above calculated proportionate share of the original design costs incurred by the County, the City shall also participate in additional design work that was completed by the County's consultant, and which was deemed to be beyond the scope of the original design services. The additional work was completed by the County's consultant under an amendment to the original agreement. The City has previously committed to reimburse the County in the amount of $ 18,738.30 for a portion of these additional design services performed by the County's consultant as is evidenced in a letter dated June 6,2001 from the City's Public Works Director to the County's Project Manager.
