Staff recommends adoption of the following motion: Move that Council authorize the Mavor and City Manaqer to siqn a sidewalk easement aqreement with Hopkins Mainstreet II. LLC to construct and maintain a public sidewalk. Overview. As part of the development agreement for the Regency housing and TEK building redevelopment, the developer was required to construct a public sidewalk along the south side of 2nd Street NE. The new sidewalk extends slightly outside the public right of way in the SW corner of 2nd Street NE/Tyler Avenue intersection. This was due to the location of a fire hydrant near the intersection. The proposed no-cost agreement gives the city a permanent easement for the public sidewalk area outside the right of way. The City Attorney has reviewed the proposed easement agreement. RECITALS A. Grantor owns real property legally described as Lot 1, Block 1, West Minneapolis Center, Hennepin County, Minnesota (the "Property"). . B. Grantor is willing to grant Grantee the right to construct, maintain and operate a pedestrian sidewalk on that portion of the Property legally described on attached Exhibit A (the "Sidewalk Area>?) consistent with the terms and conditions of this Agreement. NOW, THEREFORE, for the sum of One and no/lOOths Dollars ($1.00), and other good and valuable consideration, Grantor and Grantee agree as follows: 1. Grantor hereby grants to Grantee the perpetual and non-exclusive right, privilege and easement to construct, maintain and operate a pedestrian sidewalk in the Sidewalk Area. 2. The rights granted to Grantee under this Agreement are subject to all existing matters of public record. 3. Grantor retains all other rights, title and interest in the Sidewalk Area, including but hot limited to the right to any subsurface use of the Sidewalk Area. 4. Grantor and Grantee agree not to obstruct, impede, or interfere with the other in the reasonable use ofthe Sidewalk Area as a pedestrian sidewalk. Docil1799360\1 *08/;:712003 . . . 5. Grantee agrees not to cause any damage to or to othelWise misuse the Sidewalk Area or the Property. Grantee agrees that its use of the Sidewalk Area will not interfere with any utilities or improvements on the Ptoperty. Grantee shall be responsible for any damage to the Sidewalk Area. Grantee shall be responsible for any damage to the Property caused by the use or misuse of the pedestrian sidewalk, and shall pay Grantor its reasonable costs of repairing any 'such damage upon the demand of Grantor. Any costs, of any nature, associated with the pedestrian sidewalk in the Sidewalk Area shall be paid for by Grantee. 6. Grantee covenants and agrees to indemnify, defend and hold harmless Grantor from and against all claims, costs, expenses and liability (including reasonable attorney's fees and costs) arising from the use of the pedestrian sidewalk in the Sidewalk Area. 7. This Agreement shall be binding upon and benefit the parties hereto, their respective heirs, successors and assigns, and shall run with the land.
