CR 01-009 Approve Engineering Services Agreement C\TY Of: m January 11, 2001 HOPKINS Council Report 2001-09 Approve Engineering Services Agreement 2001 Street Improvements Project 00-10 Proposed Action Staff recommends adoption of the following motion: Move that council authorize the mayor and city manaaer to enter into an aareement with Bolton and Menk, Inc. for engineerinQ services related to the 2001 street improvements proQram, Project 00-10, and to approve a staff recommendation for project phasina and special assessments schedule. Overview Council conducted a public hearing January 2 concerning roadway improvements on segments of 11th Ave. South, 14th and 16th Avenues North and 8th Avenue from 1st Street North to Excelsior Boulevard. Some questions arose regarding phasing construction on 11 th Avenue to accommodate a single special assessment procedure or to limit construction activity to a single season. Council ordered the project with a provision that staff provide further information on assessments and construction phasing. Staff will provide that and Bolton and Menk's proposal for design/construction engineering services. Primary Issues to Consider . Consultant selection process . Engineer's proposal . Revised intersection layout and cost estimate ~~-- J es Gessele Engineering Superintendent Financial Impact: $ 151,870 Budgeted: Y Source: Special Assessments, Utility Funds Related Documents (CIP, ERP, etc.): CIP Notes: '\ Analysis Consultant selection process As reported to council when it authorized Bolton and Menk to undertake a feasibility study for this project, staffhad recommended this firm without utilizing an RFP process. Staff reviewed past performances of the City's various consultants and chose Bolton and Menk as the engineer of choice. This was based on past good working relations and the feeling that the nature of the 2001 street improvements played to the consultant's strengths. Staff still stands by that assessment as we embark on the design/construction phase of the project. Engineer proposal Bolton and Menk proposes to offer plan/specification preparation, construction staking and inspection, project administration, and record drawings at a cost not to exceed $151,870.00. This proposed fee is roughly 19% of a projected construction cost of $820,710.00. As BMI has indicated, the quoted engineering costs for 8th Avenue streetscape work are limited to conceptual drawings. A final design agreement for 8th Avenue will need to be drafted once the scope of streetscape improvements has been established. Staff recommendations - construction phasing/special assessments At the January 2 public hearing the issue of multiple-year assessments arose because of the planned 2-year construction phasing of 11 th Avenue South. Discussion led to the following suggestions: 1. Stage reconstruction of 11 th Ave. South so that special assessments fall on affected properties only once. For examfle, reconstruct a segment of 11 th Avenue from Smetana Rd. to i Street South. 2. Delay reconstruction of 11 th Avenue South another year and expand the scope of reconstruction to include all roadway from Smetana Rd. to the Soo Line bridge. 3. Delay reconstruction of 11 th Avenue South to a future date. Staff reviewed the above suggestions and provides the following comments: Expanding the project to include roadway from Smetana to ih Street has potential to cause traffic delays at two key intersections: Westbrooke Way and ih Street South. In light of the vacation and closure of 6th Street South and the heightened construction activity by Supervalu along 5th Street South, we may anticipate higher use of the ih Street intersection in the summer of 2001. Expanding the project to ih Street also creates access issues for Westbrooke Patio Homes and Westbrooke Park residents. Delaying construction to 2002 in order to expand the scope of reconstruction to include all of 11 th Avenue from Smetana to the Soo Line bridge creates a huge project that could never be completed in a single season. Access to a roadway would again be a paramount issue to Westbrooke residents and traffic delays over a two-year period might become intolerable. Delaying reconstruction of 11 th Avenue would adversely affect the schedule for upgrades to Park Valley neighborhood streets. Delaying the reconstruction to avoid conflicts with Supervalu construction activity only leads to conflicts with other planned projects for south Hopkins. Staff feels maintaining the original 11 th Avenue project scope (Smetana Rd. to South Lanmark Trail) is still the most feasible alternative. In answer to the issue of multiple- year assessments, staff would propose that special assessments on the first phase be conducted after project completion-April 2002 - and assessments on the second phase be conducted before project undertaking, also April 2002. In this manner two separate assessment hearings could be conducted at a single Council session, owners would receive two statements in a single envelope, and eventually the two assessments would be levied at the same time and appear on the January 2003 tax rolls. This scenario would be of special benefit to the Westbrooke Patio Homes and Westbrooke Park owners. Revised W estbrooke Way/II th Ave. South intersection layout Attached is a revised layout from that presented in the feasibility study. It encompasses improved pedestrian crossings and bus access points. It also depicts a revised storm sewer design, a system to be funded by the Westbrooke Patio Homes Association. The attached cost estimate for this revised storm sewer layout is approximately $27,000.00 less than the feasibility study estimate. Staff recommendation Staff has reviewed the engineering services proposal, finds it fair and reasonable in cost, and recommends approval. Staff recommends a first phase reconstruction of 11 th Ave. South from Smetana Rd. to South Landmark Trail. The CONSULTANT agrees to perform the various Basic Services in connection with the proposed project as described in Exhibit 1. B. Upon mutual agreement of the parties hereto, Additional Services may be authorized as described in Exhibit I or as described in Paragraph IV.B. SECTION II - THE CLIENT'S RESPONSIBILITIES A. The CLIENT shall promptly compensate the CONSULTANT in accordance with Section III of this Agreement. B. The C~IENT shall place any and all previously acquired information in its custody at the disposal of the CONSULTANT for its use. Such information shall include but shall not be limited to boundary surveys, topographic surveys, preliminary sketch plan layouts, building plans, soil surveys, abstracts, deed descriptions, tile maps and layouts, aerial photos, utility agreements, environmental reviews, zoning limitations. The CONSULTANT may rely upon the accuracy and sufficiency of all such information in performing services. C. The CLIENT will guarantee access to and make all provisions for entry upon both public and private portions of the project and pertinent adjoining properties. D. The CLIENT will give prompt notice to the CONSULTANT whenever the CLIENT observes or otherwise becomes aware of any defect in the proposed project. E. The CLIENT shall designate a liaison person to act as the CLIENT'S representative with respect to services to be rendered under this Agreement. Said representative shall have the authority to transmit instructions, receive instructions, receive information, interpret and define the CLIENT'S policies with respect to the project and CONSULTANT'S services. F. The CLIENT shall provide such legal, accounting, independent cost estimating and insurance counseling services as may be required for completion of the consultant services described in this agreement. G. The CLIENT will obtain any and all regulatory permits required for the proper and legal execution of the project. H. The CLIENT will hire an independent test company to perform laboratory and material testing services, and soil investigation that can be used for the proper design and construction of the project. The CLIENT shall provide a complete copy of the testing results as well as the report with pavement recommendations to the CONSULTANT. The CLIENT will compensate the CONSULTANT in accordance with the following schedule of fees for the time actually spent in performance of Agreement services. The following schedule of fees is based upon competent and responsible engineering and surveying services, and are the minimum, below which adequate professional standards cannot be maintained. It is, therefore, to the advantage of both the Professional Engineer or Land Surveyor and the Client, that fees be commensurate with the service rendered. No Charge Charges are based on hours spent at hourly rates in effect for the individuals performing the work. The hourly rates for principals, associates and members of the staff vary according to skill and expenence. These rates include the salary rate plus an overhead factor which accounts for federal and state taxes and required benefits, as well as insurance, office expenses and profit. In addition, the overhead factor includes vehicle and personal expenses, stakes and supplies. Non-routine expenses and expenses beyond the agreed scope of services, such as large quantities of prints, extra report copies, photographic plat reproductions, plat recording fees, outside professional assistance and other items of this general nature, will be billed out separately. The total sum of items A, B, C and E is a not-to-exceed cost for these items. The cost for item D is an estimated cost based on a 14-week construction period. A. B. C. D. E. In addition to the foregoing, the CONSULTANT shall be reimbursed at cost plus an overhead fee (not-to-exceed 15%) for the following Direct Expenses when incurred in the performance of the work. a. Owner approved outside professional and technical services. b. Special reproduction and repro graphic charges. c. Expendable field supplies and special field equipment rental. d. Other acceptable costs for such additional items and services as may be required by the CLIENT to fulfill the terms of this Agreement. 4. Additional services as outlined in Section l.B will vary depending upon project conditions and will be billed on an hourly basis at the rate described in Section Ill.A.l. B. The payment to the CONSULTANT will be made by the CLIENT upon billing at intervals not more often than monthly at the herein rates. STANDARD OF CARE Professional services provided under this Agreement will be conducted in a manner consistent with that level of care and skill ordinarily exercised by members of the Consultant's profession currently practicing under similar conditions. No warranty, express or implied, is made. B. CHANGE IN PROJECT SCOPE. In the event the CLIENT changes or is required to change the scope of the proj ect from that described in Section I and! or the applicable addendum, and such changes require Additional Services by the CONSULTANT, the CONSULTANT shall be entitled to additional compensation at the applicable hourly rates. The CONSULTANT shall give notice to the CLIENT of any Additional Services, prior to furnishing such additional services. The CLIENT may request an estimate of additional cost from the CONSULTANT, and the CONSULTANT shall furnish such, prior to authorizing the changed scope of work. C. INDEMNIFICATION CONSULTANT shall indemnify, defend, and hold harmless CLIENT and its officials, agents, and employees from any loss, claim, liability, and expense (including reasonable attorneys' fees and expenses of litigation) arising from, or based in the whole, or in any part, on any negligent act or omission by CONSULTANT's employees, agents, or consultants. In no event shall CLIENT be liable to CONSULTANT for consequential, incidental, indirect, special, or punitive damages. CLIENT shall indemnify, defend, and hold harmless CONSULTANT from any loss, claim, liability, and expense (including reasonable attorneys' fees and expenses of litigation) arising from, or based in whole, or in any part, on any negligent act or omission by CLIENT's employees, agents, or consultants. In no event shall CONSULTANT be liable to CLIENT for consequential, incidental, indirect, special, or punitive damages. Nothing contained in this Agreement shall create a contractual relationship with or a cause of action in favor of a third party against either the CLIENT or the CONSULTANT. D. CONSTRUCTION SERVICES. It is agreed that the CONSULTANT and its representatives shall not be responsible for the means, Inethods, techniques, schedules or procedures of construction selected by the contractor or the safety precautions or programs incident to the work of the contractor. City of Hopkins Tll.20354 Page 5 of8 January 10,2001 E. INSURANCE. The CONSULTANT agrees to maintain, at the CONSULTANT'S expense, statutory worker's compensation coverage. The CONSULTANT also agrees to maintain such general liability insurance for claims arising for bodily injury, death or property damage which may arise from the negligent performance by the CONSULTANT or its employees of its day-to-day general business activities (such as automobile use) and exclusive of the performance of the professional services described in this Agreement. The CONSULTANT also agrees to maintain, at the CONSULTANT's expense, Professional Liability Insurance in the amount of $1,000,000.00. CONSULTANT shall forward the CLIENT Certificates of Insurance upon request. F. REUSE OF DOCUMENTS. All documents including Drawings and Specifications prepared or furnished by CONSULT ANT pursuant to this Agreement are instruments of service in respect of the Project and CONSULTANT shall retain exclusive ownership and property interest therein whether or not the Proj ect is completed. The CONSULTANT shall be deemed the author of these documents and shall retain all common law, statutory and other reserved rights including the copyright. CLIENT may make and retain copies for information and reference in connection with the use and occupancy of the Project by CLIENT and' others; however, such documents are not intended or represented to be suitable for reuse by CLIENT or others on extensions of the Project or on any other project. Any reuse without written verification or adaptation by CONSULTANT for the specific purpose intended will be at CLIENT'S sole risk and without liability or legal exposure to CONSULTANT and CLIENT shall indemnify, defend and hold harmless CONSULTANT from all claims, damages, losses and expenses including attorney's fees arising out of or resulting therefrom. Any such verification or adaptation will entitle CONSULTANT to further compensation at rates to be agreed upon by CLIENT and CONSULTANT. G. OPINIONS OR ESTIMATES OF CONSTRUCTION COST. . Where provided by the CONSULT ANT as part of Exhibit I or otherwise, opinions or estimates of construction cost will generally be based upon public construction cost information. Since the CONSULTANT has no control over the cost of labor, materials, competitive bidding process, weather conditions and other factors affecting the cost of construction, all cost estimates are opinions for general information of the CLIENT and no warranty or guarantee as to the accuracy of construction cost opinions or estimates is made. The CLIENT agrees that costs for proj ect financing shall be based upon actual, competitive bid prices with reasonable contingencies. City of Hopkins Tll.20354 Page 6 of8 January 10, 2001 H. PAYMENTS. If CLIENT fails to make any payment due CONSULTANT for services and expenses within thirty days after date of the CONSULTANT'S invoice, a service charge of one and one-half percent (1.5%) per month or the maximum rate permitted by law, whichever is less, will be charged on any unpaid balance. In addition, CONSULTANT may, after giving seven days' written notice to CLIENT, suspend services under this Agreement until CONSULTANT has been paid in full all amounts due for services, expenses and charges. I. TERMINATION. This Agreement may be terminated by either party for any reason or for convenience by either party upon seven (7) days written notice. In the event of termination, the CLIENT shall be obligated to the CONSULTANT for payment of amounts due and owing including payment for services performed or furnished to the date and time of termination, computed in accordance with Section ill of this Agreement. J. CONTINGENT FEE. The CONSULTANT warrants that it has not employed or retained any company or person, other than a bona fide employee working solely for the CONSULTANT to solicit or secure this Contract, and that it has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage, brokerage fee, gift or any other consideration, contingent upon or resulting from award or making of this Agreement. K. NON-DISCRIMINATION. The"provisions of any applicable law or ordinance relating to civil rights and discrimination shall be considered part of this Agreement as if fully set forth herein. L. CONTROLLING LAW. This Agreement is to be governed by the law of the principal place of business of CONSULTANT. M. SURVIVAL All obligations, representations and provisions made in or given in Section IV of this Agreement will survive the completion of all services of the CONSULTANT under this Agreement or the termination of this Agreement for any reason. SEVERABILITY Any provision or part of the Agreement held to be void or unenforceable under any law or regulation shall be deemed stricken, and all remaining provisions shall continue to be valid and binding upon OWNER and CONSULTANT, who agree that the Agreement shall be reformed to replace such stricken provision or part thereof with a valid and enforceable provision that comes as close as possible to expressing the intention of the stricken provision. SECTION V - SIGNAT~S THIS INSTRUMENT embodies the whole agreement of the parties, there being no promises, terms, conditions or obligation referring to the subject matter other than contained herein. This Agreement may only be amended, supplemented, modified or canceled by a duly executed written instrument signed by both parties. Mielke, City Manager City of Hopkins Tl1.20354 Page 8 of8 January 10,2001 EXHIBIT I BASIC SERVICES BY CONSULTANT 2001 STREET AND UTILITY IMPROVEMENTS FINAL DESIGN, CONSTRUCTION STAKlNG, OBSERVATION, & ADMINISTRATION CITY OF HOPKINS, MINNESOTA A. BASIC SERVICES For purposes of this Project, Basic Services to be provided by the CONSULTANT will be accomplished in five tasks and are outlined below. 1. Final Design: Plans~ Specifications~ Bidding Final design for the 2001 Street and Utility Improvements will completed based on the preliminary design and Feasibility Report. Detailed construction plans will be prepared illustrating plan and profile views of the street and utility improvements. Cross sections will include street and trail improvements. Special Provisions and construction cost estimates will also be prepared. Final plans will be design to meet MnJDOT State Aid standards for the eligible roadways and will be submitted for review by MnJDOT's State Aid Office. The project will be advertised, bids will be taken, and recommendation will be made to accept or rej ect bids. Meetings included as a part of the Final Design services include two (2) City staff meetings for design review and one (1) City Council meeting for fmal plan presentation. 2. Conceptual Design: 8th Avenue Streetscape The CONSULTANT shall retain Hoisington Koegler Group, Inc., hereinafter referred to as SUB CONSULTANT, to prepare a conceptual streetscape plan and associated preliminary cost estimate for 8th Avenue. Rendered, presentation graphics will be produced for meetings with City Council and affected property owners. Meetings included as a part of the Conceptual Design services include two (2) City staff meetings for design review, one (1) neighborhood meeting, and one (1) City Council meeting. These meetings will be attended by the CONSULTANT and SUB CONSULTANT. 3. Construction Staking Construction staking indicating cuts to the line and grade of the proposed utilities will be performed at intervals of no more than 100 feet. Curb stakes will be set along both sides of the reconstructed roadways at intervals of no more than 50 feet. 4. Construction Observation and Administration Full time construction observation is proposed for this proj ect. Administration duties include a preconstruction meeting, required project meetings, review of shop drawings and preparation of pay estimates. As-Built Plans As-built plans detailing the completed improvements as recorded by the CONSULT ANT and the CLIENT's contractor will be completed and furnished to the CLIENT in hard copy and electronic Microstation format. B. ADDITIONAL SERVICES Consulting services performed other than those authorized under Section LA. shall be considered not part of the Contract Services and may be authorized by the CLIENT as additional services. Additional Services consist of those services which are not generally considered to be Contract Services; or exceed the requirements of the Contract Services; or are not definable prior to the commencement of the project; or vary depending on the technique, procedures or schedule of the project contractor. Additional services may consist of the following: 1. COORDINATION OF FUNDING DOCUMENTATION, including preparation offmal assessment rolls and assessment computations for individual parcels, and periodic grant reimbursement requests and documentation related thereto. 2. ADDITIONAL EASEMENT & ACQillSITION SERVICES. Boundary and easement surveys for the purpose of describing project sites and easements, preparation of property descriptions, site maps, assistance with eminent domain proceedings, court preparation, and testimony. 3. CONSTRUCTION MATERIALS TESTING. Testing of construction materials for conformance to the construction contract documents. 4. All other services not specifically identified in Section A.
