Approve Joint Use and Maintenance Agreement with MetroTransit regarding Transit
Hub/Park-n-Ride Facility
Proposed Action.
Staff recommends adoption of the following motion: Move that Council authorize the
Mayor and City Manaaer to sian a ioint use and maintenance aareement between the
City of Hopkins and MetroTransit for a transit hub/park-n-ride facility.
This agreement allows Metro Transit to improve, use and maintain a portion of a city
owned parcel of land for a transit hub and park-n-ride facility.
Overview.
As part of a Metro Transit restructuring plan, in the fall of 2000 City Council approved a
transit hub to be located at the current park-n-ride lot location (8th Avenue
South/Excelsior Blvd). In February, 2001 City Council approved one of three proposed
transit hub designs. The design work has been completed and construction is
scheduled to begin in July, 2001 and be substantially completed by September, 2001.
The proposed use and maintenance agreement details the area of city property to be
dedicated to the transit hub operation and the maintenance responsibilities
Primary Issues to Consider.
Terms of the agreement
The agreement grants the non-exclusive use of the described land to Metro Transit for
public transit purposes for a period of 5 years with a possible additional 5-year
extension. All maintenance and repairs of the improvements are a Metro Transit
responsibility.

Transit Hub/Park-Ride Facility
This Agreement made and entered into this day of , 2001, by and
between the City of Hopkins, Minnesota, a municipal corporation under the laws of Minnesota,
("City"), and the Metro Transit Authority, a public corporation and political subdivision of the State
of Minnesota, acting by and through its governing body, the Metropolitan Council ("MT A").
WITNESSETH:
WHEREAS, the City and the MT A find it desirable to develop a transit hub/park-ride facility
in the City of Hopkins to provide an attractive, safe, convenient location for persons to park their
cars and to transfer to public transportation; and
WHEREAS, the MT A is to provide adequate means and facilities for efficient public
transportation to, from, and within the metropolitan area; and
WHEREAS, the City presently owns the parcel of land described on Exhibit A attached
hereto and made a part hereof and is in agreement with a proposed joint use of said parcel for public
transit purposes; and
WHEREAS, a transit hub/park-ride facility constructed on said parcel constitutes use of the
land for public transit purposes and for a facility to improve public transit; and
WHEREAS, the City and the MTA desire that the transit hub/park-ride facility shall be
repaired and maintained in order to promote maximum, efficient use of this facility and to enhance
the adjacent land uses;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties
hereto mutually covenant and agree as follows:
1. The area depicted in a drawing attached hereto as Exhibit B and incorporated herein is to
be allowed and set aside solely for the use of said parcel thus depicted as a transit hub/park-ride
facility .
2. This use is granted to the MT A for five years, and may be extended for an additional five
year period of time, under the condition that the land revert back to the City should the MT A no
longer use said parcel for a transit hub/park-ride facility. However, either party may terminate this
Agreement upon the 5th anniversary of this Agreement, by furnishing written notice to the other prior

to the anniversary date.
3. A transit hub/park-ride facility is to be constructed on said parcel at the sole cost and
expense of the MT A.
4. No construction of alteration on said parcel shall be commenced until the plans and
specifications have been approved by the City, MT A, Hennepin County, Minnesota Department of
Transportation and the Federal Highway Administration if such approval is required from said
agencIes.
5. No advertising devices or signs, in any form or size, shall be constructed or placed upon
said parcel except signs identifying the transit hub/park-ride facility and signs related to said uses.
6. This use is non-exclusive and is granted subject to rights of others, including, but not
limited to utilities which may occupy the land upon which the transit hub/park-ride facility is to be
constructed.
7. Maintenance and repairs shall be provided by the MT A at no cost to the City during the
period provided for in this Agreement, including the south leg of the Excelsior Boulevard/8th
Avenue South intersection which provides access to the transit hub/park-ride facility. In the event
the MT A fails to perform such repairs and maintenance the City deems necessary or appropriate to
the appearance and use of the transit hub/park-ride, the City may then elect to do so and recover the
costs thereoffrom MT A.
8. Except as specifically provided herein, neither party relinquishes or waives any rights or
powers possessed by it under any law or regulation, and neither party is relieved of any
responsibility, duty or obligation imposed upon it by any law or regulation.
IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed by
their respective duly authorized representatives as of the day first written above.

~ A. Nondiscrimination Regulations. During the performance of the work and
services hereunder relative to the operation and maintenance of said park-ride
facility, the City~ for itself, its assignees, and successors in interest
shatl comply with Title 6 of the Civil Rights Act of 1964, as amended.
Accordingly, Appendix Hand 23 CPR 7l0.405(b) are made a part hereof by
reference with the same force and effect as though fully set forth herein.
B. Minority Business Enterprise. In connection with the performance of
this. contract, the City will cooperate with MTC in meeting its commitments
and goals with regard to the maximum utilization of minority. business
enterprises and will use ~ts best efforts to insure that minority business
shall have the maximum practicable opportunity to compete for sub-contract
work under this contract, and for bids under the specifications.
C. Conflict of Interest. The City agrees that it presently has no interest
and shall .acquire no interest, direct or indirect, which would conflict in
any manner or degree with the performance of its services hereunder. The
City further agrees that in the performance of the Agreement, no person
having any such interest shall be employed.
D. Interest of Members of Congress. No member of or.delegate to the Congress
of the united States shall be admitted to any benefit .arising therefrom.
E. Interest of Public Officials. No member, officer, or employee of the
MTC or of the City during his tenure or for one year thereafter, shall-have
