PUBLIC HEARING REGARDING
TRANSFER OF OWNERSHIP OF PARAGON CABLE
Pro Dosed Action
Staff recommends that the Council approve the following motion: Move that the Hopkins City Council
continue the public hearing until June 6. 1995 and request that the Southwest Suburban Cable Commission
make a recommendation to the City of Hopkins concerning the transfer of ownership of Paragon Cable.
Adoption of this motion will continue the process of reviewing the sale and transfer of the ownership of
Paragon Cable.
Overview
Houston Industries owns KBLCOM, Inc. which owns Paragon Cable. Houston Industries is proposing to sell
KBLCOM, Inc. to Time Warner, Inc. A public hearing is being held in each of the five cities which belong to
the Southwest Suburban Cable Commission (SWSCC). A representative of the law firm of Fredrikson &
Byron, the SWSCC's administrators, as well as a representative of Paragon Cable will be at the public hearing
. to explain the process and answer questions.
Primary Issues to Consider
. What are the steps in the process of reviewing the sale and transfer of the cable company?
The Hopkins City Council will hold a public hearing on April 6, 1995. After receiving comments the
Council should continue the public hearing until June 6, 1995. This will give the SWSCC time to meet
and consider this sale. The SWSCC will make a recommendation to the City prior to June 6.
. What is the purpose of the public hearing?
A public hearing allows the City to assess whether such a sale and transfer may adversely affect the
subscribers. Information will be provided to the City from the cable administrators as well as the cable
company on the effects of this sale and transfer. The public hearing will also allow the Council and the
public to ask questions and make comments.
. What are the likely effects of this sale?
One of the purposes of the public hearing is to answer this question. It is staffs opinion, however, that
in the short run there will be no discernible effect on cable. Since it is a parent company of Paragon
that is being sold, and not Paragon itself, the management and practices of Paragon Cable will likely
continue.

Subject: Second reading for Zoning Ordinance Amendment
Attached is Ordinance 95-761 that extends the adult-oriented business moratorium.
The moratorium will be extended to November 21, 1995. The moratorium will not allow
the establishment of adult-oriented businesses within the City.
The City Council's action is to approve Ordinance 95-761 for second readinq and order
it published.

ORDINANCE NO 95-761
AN ORDINANCE EXTENDING THE MORATORIUM ON ADULT-ORIENTED .
BUSINESSES ESTABLISHED BY ORDINANCE NO. 94-745
THE CITY COUNCIL OF THE CITY OF HOPKINS ORDAINS:
Section 1. Findings.
1.01 By Ordinance No. 94-745, the City Council placed a moratorium on the
development of adult-oriented businesses in the City pending completion of a study and the
adoption of any amendments to the City's ordinances. The ordinance is scheduled to expire on
April 18, 1995.
1.02 The City is still in the process of completing its study and the matter is scheduled to
be considered by the planning commission on April 25, 1995, for review and recommendation to
the City Council.
1.03 It is necessary for the City Council to extend the moratorium in order to allow the
planning process to be completed.
Sec. 2. Extension of Moratorium. The moratorium on the development of adult-oriented
businesses established by Ordinance No. 94-745 is extended until November 21, 1995, or such e
earlier date as may be further adopted by ordinance. All other provisions of Ordinance No.
94-745 remain in effect.
Sec. 3. This ordinance shall be effective 20 days after its publication.
First reading: April 4, 1995
Second reading: April 18, 1995
Date of publication: April 26, 1995
Date ordinance is effective: May 17, 1995
