JOINT PROJECT AGREEMENT
NORTH SERVICE DRIVE AND
EISENHOWER SCHOOL PARKING LOT IMPROVEMENTS
Prooosed Action.
Staff recommends adoption of the following motion: Move that Council
aoorove an aareement for administration and cost allocation
concernina imorovements alona North Service Drive and at Eisenhower
School.
Overview.
Council at its March 7 meeting approved the concept of joint project
administration concerning the frontage road improvements and parking
lot improvements at Eisenhower School. A formal agreement has been
drawn up by the City Attorney and is presented here for final
approval.
Primary Issues to Consider.
. . Agreement Terms
The City and Independent School District 270 have contracted
individually with Bolton and Menk Inc. for engineering services. Their
separate agreements are attached to the agreement. The city will be
responsible for the bid proposal that includes separate schedules.
Contractor payments shall be under City administration in the form of
progress payments. The school district will be invoiced in each
instance of progress payments for its share of the cost. Invoice
payments shall be due within 30 days.

staff and the consulting engineer have examined the agreement, concur
with the draft, and recommend its approval.

. AGREEMENT FOR ADMINISTRATION AND COST ALLOCATION
This Agreement made this day of , 1995 by and
between the CITY OF HOPKINS, 1010 First Street South, Hopkins, !
Minnesota 55343 ("City") and INDEPENDENT SCHOOL DISTRICT 270, 1001
Highway 7, Hopkins, Minnesota 55343 (rrISD").
RECITALS:
1. The City has proposed to realign the North Service Drive
at the intersection of 12th Avenue North and State Highway 7.
2. The project design requires modification and reduction of
existing parking spaces and internal roadway alignment presently
serving Eisenhower Elementary School.
. 3. The ISD has proposed to construct a new parking area as
well as reconstruct an existing parking area into a bus pickup and
turn around area allan ISD property.
4. The inter-relation of the ISD project and the City project
encourages use of a cooperative agreement combining construction
documents, agreements, designs, specifications and bid proposals.
NOW, THEREFORE, it is mutually agreed between the parties as
followS:
1. Both the City and ISD will contract with the engineering
firm of Bolton & Menk, Inc. to complete construction
. administration, construction observation and staking for the

. improvements contemplated by both parties as more specifically set
forth in the respective agreements between City or ISD and said
Consulting Engineers which agreements shall be attached to and be
a part of this Agreement.
2. Bid proposals and contractor selection shall be the
obligation of the City together with all other administrative
duties customary and incidental to the implement of the
aforementioned project provided, however, that said project will
contain the following separate bids
Schedule 1 : SAP 132-010-003 (North Service Drive)
Schedule 2: Parking Lot Improvement - Phase I
Schedule 3: Parking Lot Improvement - Phase II
. 3. Progress payments shall be submitted for payment to the
City and approved by the Consulting Engineers during the project
period. Such payments thus approved by the consulting engineer
shall also disclose the allocation of said payments to the project
benefiting ISD and the City. Payments allocable to the ISD project
as approved by the engineer shall be promptly invoiced and paid by
ISD to the City within 30 days. Such invoices reimbursable to the
City shall include the City's costs for construction,
administration, observation, supervision, inspection and
construction staking for the ISD project.

. 4. It shall be the obligation of the Consulting Engineer to
pro rate all project costs and expenses between the parties as they
relate to the ISD project and the City project as established by
the contract unit prices for such construction in the improvements
referred to under Paragraph 2 above.
5. The City, with the assistance of the consulting engineer,
shall enter into a construction contract with the contractor
selected through the bidding process and shall furnish a copy
thereof to ISD.
THIS INSTRUMENT embodies the whole agreement of the parties,
there being no promises, terms, conditions or obligations referring
- to the subject matter other than contained herein. This Agreement
may only be amended, supplemented, modified or canceled by a duly
executed written instrument signed by both parties.
IN WITNESS WHEREOF, the parties hereto have caused this
Agreement to be executed in their behalf.
