Overview The City'has been without a towing contract since December 17, 1992 when the contract withDick Hughes was canceled due to lack of insurance and performance bond. Since December 18, 1992, Matt's towing has been providing towing service on a,contingency basis. " ". C()uncilapproved Ordinance 93-721 on February 16, 1993, removing the requirement to advertise for bids .and authorizing the City manager to recommend a service provider, and the Council to move or resolve to authorize entering into a contract with the recommended person, firm, of corporation. . Proposals were solicited from five firms. .Three firms returned proposals, those being Matt's Auto Service, Inc., DickHughes Towing and Starting, Inc. and Kustom Karriers, Inc.' I Primary Issues to Consider . Does Malt's Auto Service meet the requirements of the contract? . . Are the prices proposed by Matt's Auto Service reasonable and competitive with the other firms? . Council Report #93-033 Page 2 Primary Issues to Consider . ',Does Matt's Auto Service meet the requirements of the contract? Matt's meets the requirements of the contract. Matt's is also working on'securing a storage facility herein Hopkins for use during the winter snow emergency season. Matt's is the only firm submitting a proposal that complies with Minnesota State Law in obtaining a permit from the Department of Transportation for motor carrier authority, . Are the prices proposed by Matt's Auto Service reasonable, and competitive with other firms? Staffs main consideration was the proposed price for a "basic" tow and first day storage, since this comprises the vast majority of Hopkins tows. Also requested was pricing for oth~r contingencies, including extra labor charges for unusual circumstances, semi trucks, etc, mainly for the purpose of having these charges on record with the city, e Matt's proposed price fora "basic" tow including first day storage and certified letter is $60.00. This is the same price proposed by Kustom Karriers. Dick Hughes price totals slightly less at $57.25. Staff feels this is not significant enough to form a major issue. Prices submitted for other serVices varied with each of the proposals having highs and , lows. Matt's rates varied high and low with the other firms, Stafffeels that Matt's proposal for a basic tow, storage and contingencies is reasonable and competitive with the industry and the other firms submitting proposals. . Will Matt's Auto Service be capable of providing good service to both the City and it's "customers" compared with the other firms? Since December 18,1992, when Matt's agreed to assist the City on an emergencypasis after the Contract was canceled, Matt's has provided good service to the city. Tows have arrived in a timely manner, and snow emergencies were handled as expediently as possible given the short preparation time allowed the contractor. Perhaps the most significant service issue has been the fact that not one customer complaint has been received by the Police Department. Matt's has a stated commitment . ,to customer service and this is substantiated by the absence of complaints. ., ~~.- ^_..- .'-'" ";', - , " "~r~ ,~ {., i .- Council Report #93-033 Page 3 Mattis storage facilities are comprised of 300 spaces in two lots located within 5 miles from the city limits, as required by the contract. Matt is working on securing a IIwinter" storage facility strictly for Hopkins, within the city limits. Mattis has the Department of Transportation motor carrier authority as required bylaw. ", Staff feels that Mattis would provide good service to both the City and our customers compared with the other firms, based on recent experience and in consideration of the , above facts.. . Dick's Towing and Starting, Inc. Dick's storage facility is nearby and large enough to accommodate the amount of vehicles towed during a normal snow, emergency. Service to the Police Department has been very good, as regards response times to requests for tows, snow emergency operations, etc. . Customer Service has been an issue inthe past with Dickls Towing and Starting, Inc. Significant staff time has been expended to handle customer complaints. In addition, staff .' ' feels that the previous experience of the City with Dickls lack of attention to contract details such as insurance and bond requirements has been less than satisfactory. Dick's is in arrears to the City of$435.00from the previous contract. Dickls does not have ;motor carrier authority from the,Department of Transportation as required by law. Staff would be cautious of entering into another contract with Dick's due to previous experience in administrative and customer service matters, as well as the lack of motor carrier authority required by law. . Kustom Karriers Kustom Karriers prices are comparable to Mattis. 'Storage facilities are on the small side, with three lots totaling 130 spaces. Council Report #93-033 Page 4 Kustom Karriers does not have the D.O.T. authority as required by law, however they have stated if awarded the contract they will apply for authority. This process would take approximatelY,45 days. Staff would be hesitant to choose Kustom Karriers over Matt's, in view of the size of . storage facilities, lack of motor carrier authority and no significant. difference in prices. Alternatives 1. Authorize an agreement for towing services with Kustom Karriers, Inc. Kustom Karriers complies with contract specifications,' but is on the small side for lot capacity and does not have the statutory motor carrier authority. The city has no basis to evaluate' service due to lack of experience with this firm. " 2. Authorize an agreement for towing services with Dick Hughes Towing and Starting, Inc. Dick's price is slightly lower that the two other firms, Dick does have a history of . providing good service to the Police Department in responding to requests for tows. Dick owes the city $435.00 from the contract that was canceled due to loss of insurance and lack of a performance bond. This was the second insurance lapse while Dick held the city contract. Customer service is not outstanding, with significant staff time being spent . handling complaints. CONTRACT SPECIFICATIONS 1. Contractor's Services. The Contractor agrees to provide all services required by the City for the towing of vehicles, as that term is defined in Minnesota Statute SS169.01, subd,2. These services shall be. provided in accordance with the terms of this contract, The Contractor shall furnish the equipment, personnel, supplies, and facilities sufficient to fulfill all the terms of this contract. 2. Agreement Period. This agreement shall. commence on April L 1993 and end on June 30, 1994. recurring ona yearly basis thereafter. (July 1 1994 - June 30 1995.) and subject to renewal from year to year. This agreement may also be terminated by either party upon 30 days written notice if the other fails to perform in accordance with the terms of this contract through no fault of the terminating party. 3. Personnel. All drivers provided for the towing vehicles shall be checked for driver's license and warrants by the City's Police Department prior to their assignment. Contractor agrees to . train all drivers in the proper towing of vehicles containing hazardous . materials in accordance with federal and state laws. 4. Storage Facility. The Contractor shall provide for towed vehicles which shall be fenced and locked in a secure manner. The facility shall be within five miles of the City limits. 5. Operation. No vehicle shall be towed under this contract without specific authorization from an employee or agent of the City.. All vehicles shall be towed, not driven (except when authorized) without damage to the vehicles, to the storage facility.. Contractor shall maintain and provide a. telephone answering service 24 hours a. day for the purpose of receiving requests for service pursuant to this contact, and provide and maintain. mobile radio service with all towing units, 6. Notification of Owner. Upon the deposit of a towed vehicle in the storage facility, the Contractor shall send, within 72 hours, by certified mail, to the registered owner a notice specifying the date and place of the tow, the year, make, model, and serial number of the vehicle towed, and the procedure to reclaim the vehicle. A record of this notice shall be retained by the Contractor. 7. Release. No vehicle shall be released without proper proof of ownership. Vehicles ordered held by the Police Department shall not be released without authorization from said department. Vehicles not kept on a "police hold" shall be released by the Contractor after obtaining proper proof of ownership and proof of current insurance coverage if the vehicle is to . be driven out of the impound lot, The Contractor reserves the right to specify the manner of payment for all charges and fees. Contractor agrees to provide emergency service beyond those hours at the request of the Police Department. . 8. Additional labor charges include, but are not limited to, unlocking vehicles, disconnecting transmission linkages or driveshafts, unusual road cleanup, . snow shoveling, any additional equipment needed, and vehicles'located off the main roadways. "'~' ' ,,---~- - ._-~- - - - ~ ------~--- ~-~ ---- ~~ '~,: ' J' '.", e Towing and Storage Charges, cont'd: All towing or storage charges shall be the responsibility of the vehicle owner, except that (a) City vehicles under one ton requiring towing within the Twin City Metropolitan area shall be towed without charge to the City, (b) vehicles towed and/or stored in error (at the request of the City) shall be returned to the owner at no charge; (c) vehicles towed and stored pursuant to seizure under Minnesota State Statutes 609.531 and 152,19 will be towed and stored without cost to the City. Vehicles no longer held for seizure may be released to the registered owner as' outlined in ,paragraph 6 above after payment of normal towing and storage fees. Contractor agrees to release any personal property in or on the vehicle at the request of the City at no charge to the City or vehicle owner. .9 Administrative Fee, The Contractor agrees to pay the City $3.00 for clerical and administrative expenses for. each vehicle referenced in an impound towing report filed by the Police Department.. These fees shall be paid quarterly on the 15th day of each of. the following months: April, July, and October of 1993, and January, 1994. Vehicles not clainied and destroyed by the Contractor will'be exempt from the administrative fee. 10. Records and Reports. Contractor shall prepare a quarterly report of all vehicles . towed, stored, released, and still held, in a form acceptable to the City. This report shall. be forwarded to the Police Department at the same time as payment .of the administrative fees referenced in paragraph 8. The report shall include the reasons why, if any, vehicles towed have not been released. All records of services provided by the Contractor pursuant to this agreement shall be available for'inspection by the City upon request, 11. Sales and/or Disposal. When the total. of all charges for towing, storage, and other charges equals or exceeds the value of the vehicle impounded, the Contractor shall, with the permission of the Chief of Police, sell the vehicle at a sheriffs sale or otherwise dispose of the vehicle by lawful means. The Chief of Police may authorize the lawful sale of other vehicles when so requested by the Contractor after proper notification has been made to the registered owner. The Contractor shall report all transactions of sale or disposal,' including the proceeds received, in ,the quarterly report referenced above in paragraph 9. The Contractor shall keep records and prepare an annual summary report by January 15, 1994, of all losses and profits from the sale or disposal of vehicles towed pursuant to this agreement. 12. Liability. The Contractor shall be responsible for the loss of, or damage to, any vehicle, equipment thereon, and contents due to the fault of the Contractor or his agent, from the time he, or his agent, takes custody of the vehicle, whether that be by signing the receipt for the vehicle or by hooking or hoisting the vehicle. The Contractor shall be responsible for the safe keeping of personal, property, within or on the vehicle, as identified on the vehicle impound form. . Page: 3 -' ~." f..~. ~~, jf. ,-' . 13, Indemnification, The Contractor shall indemnify and hold harmless the City, its employees and agents from, and against, all claims, damages, losses and expenses, including attorneys' fees, which they may suffer or for which they may be held liable because of bodily injury, including death, or damage to property, including loss of use, as a result of the fault ofthe . Contractor, his employees, agents or subcontractors in the breach or performance of this agreement. 14. Bond. Contractor agrees to obtain and maintain a letter of credit addressed to the City, during the life of the contract, in the amount of$5,000, to assure the proper and timely performance of this contract. 15. Insurance. A. During the term of this contract, the contractor shall maintain such insurance as will protect him from claims which may arise out of or result from the contractor's operations or completed operations under the contract, whether such operations ~e by himself or by a subcontractor or anyone directly or indirectly employed by any of them, or by anyone for whose acts any of them maybe held liable. This insurance shall be provided by a carrier licensed to do business in the. state.Minnesota and shall cover: .. 1. Claims arising under any worker's compensation, employer's liability, or any similar employee benefit acts; 2. Claims because of bodily injury, sickness, disease or death of any person or persons, and for claims because of damage to or destruction of property of others, including the loss of use. B. The insurance referred to in Subprograms A2 above shall be written under the Comprehensive General and Comprehensive Automobile Liability policy forms, including coverage for all owned, hired, and non-owned automobiles. The combination of the above described policy forms, and an umbrella excess liability policy. Insurance must also cover motor vehicles other than automobiles such as motorcycles, snowmobiles, boats and trailers, motor homes, etc. C. Such insurance shall be written for amounts not less than the following as respects Subprograms Al above: Worker's Compensation - Statutory Employer's Liability - $100,000 each occurrence . Insurance, cont'd: Garage Keepers Legal Liability Coverage written to include comprehensive and collision coverage of at least $200,000; Garage Liability Coverage of no less than $500,000 combined single limit coverage, or if provided only in split limits, of $500,000 for bodily injury and $500,000 for property damage; Vehicle Insurance of no less than $500,000 combined single limit coverage, or if provided only in split limits, of $500,000 for bodily injury and $500,000 for property damage. The City shall be named as an additional insured in t~ese policies. D. It is a condition of the contract that the policy or policies afford coverage for damage to property of others arising out of the perils of Explosion, Collapse, and Damage to Underground Facilities. E. It is a condition of the contract that the policy or policies waive any and all . governmental immunity as a defense in any action brought against the insured or any other party to the contract. F. The contractor shall provide insurance to cover operating hazards. G. Approval of the insurance by the City shall not in any way relieve or decrease the liability of the contractor hereunder, and it is expressly understood that the City does not in any way represent that the above specified insurance or limits of liability are sufficient or adequate to protect the contractor's interests or liabilities. H. The City shall be given at least 30 days' written notice of cancellation, termination, or material modification of the required insurance coverages. I. Deductibles All responsibility for payment of any sums resulting from any deductible provision, corridor, or self-insured retention conditions of the policy or policies shall remain with the contractor. J. Errors and Omissions Insurance Any insurance agent for coverage required by this contract shall have in force and . effect errors and omissions coverage in limits ofnotless than $100,000 per occurrence and $300,000 aggregate. Non-Discrimination. The Contractor agrees during thelife of this contract not to discriminate against any employee, applicant for employment, or other individual because of race, color, sex, age, creed, national origin, or any other basis prohibited by federal, state or local law. The Contractor will include a similar provision in all subcontracts entered into for performance of this contract. 17. Sub-Contractors. The Contractor shall not subcontract all or any portion of this contract without prior written approval of the City, except for assistance in emergency or . unforeseen circumstances. All subcontractors shall be bound by, and covered by, all terms of this agreement. 18. Independent Contractor. At all times and for all purposes hereunder, the Contractor is an independent contractor and not an employee of the City. No statement. herein shall be construed so as to find the Contractor an employee of the City. 19. Compliance with Laws. In providing services pursuant to this agreement, the Contractor shall abide by all . statutes, ordinances, rules and regulations' pertaining to the performance of this contract. Any violation shall constitute a material breach of this agreement and entitle the City to terminate this agreement. 20. Whole Agreement. This agreement embodies the entire agreement between the parties, including all prior understanding and agreements, and may not be modified, except in writing, signed by all parties. . Steiner Wynn Curtiss RE: Towing Contract You have asked that I provide an opinion as to whether a towing contractor who has not obtained a Motor Carrier's Certificate from the Minnesota Department of Transportation may be awarded the Towing Contract with the City of Hopkins. . Paragraph 19 of the Request for proposals for the current Towing Contract specifically states that the towing contractor- retained by the City "shall abide by all statutes, ordinances, rules and regulations pertaining to the performance of [the] Contract." I have reviewed a letter, dated June 18, 1992, from Ward Briggs of the Motor Carrier Safety and Compliance Division of the Minnesota Department of Transportation which states Mr. Briggs' opinion that a towing company engaged in the business of towing vehicles impounded by police officers is not exempt from the requirement of obtaining a Motor Carrier's Certificate under Minn. Stat. 221.021 and 221.025. Therefore, it appears that a prospective towing contractor that did not have a Motor Carrier Certificate would not be in compliance with the requirements of Minnesota Statutes and would be ineligible to act as the towing contractor for the City of Hopkins, as provided in the Request for . proposals and by the express terms of the Towing Contract.
