WITNESSETH: WH~REAS, The County and the City have been negotiating to bring about the improve~ent of that portion of County state Aid Highway No. 3 between TH 169 and CSAH 20 (Slake Road). WHEREAS,The City has expressed its willingness to employ the services of Consultant Engineers to study and develop a design proposal fer improvements to said cQfridor;.and WHI.tREAS~The County is agreeable to the use of Consultant Engineers for such purpose's; ~nd NOWTHFREFORE, IT IS HERESY AGREED: WHEREAS, It is contemplated that said work be carried out by the parties hereto under the provisions of M.S. SEC. 162.17, Subd. 1 and SEC. 471.59. I The City shall enter into a contract with the consultant engineering firm Benshoof and Associetes, Inc. of Eden Prairie, Minnesots1 for the purpose of preparing a CSAH 3 Corridor Stocty Report which will result in a concept layout for improveaents to the corridor. The services to'be provided by the co~sultant shell be in accordance with those ~utlined in a f4ay 11. 1990 letter from Benshoof and Associate~1 Inc. to Mr. Ja~' Gesseie uf the City of Hopkins. Agreement No. PW 38-01-90 II The City shali enter into a separate contract with the engineering firm Schoell and Madson, Inc. of Minnetonka, Minnesota for the purpose of preparing a corridor base map and supplying same to the City's consultant, Benshoof and Associates, Inc. The services to be provided by the engineering firm shall be in accordance with those outlined in a May 25, 1990 letter from Schoell and Madson, Inc. to Mr. James Gessele of the City of Hopkins. A copy of said letter (marked Exhibit HBR) is attached hereto and by this reference made a part hereof. III The City shall be responsible to ensure that all work and services provided under this agreement are in accordance with any and all applicable laws. regulations and guidelines related to location, design, safety and environment. IV The City or its aaents shall be responsible for the collection of any and all data ~ required to co~plete said CSAH 3 Corridor study Report. V All plans. designs, reports and specifications prepared in accordance herewith shall be prepared by or under the direct supervision of a professional engineer or land surveyor. as applicable, registered in the state of Minnesota, and said plans, designs, reports and specifications shall be cartif1ed by him as required by law. VI The City or its agents shall confer with the County or its ag~nts as oftsn as is necess~ry in ~eg~rd to the work to be completed in accordance with this agreement, When requested by the County, the City or its agents shall also assist the County in "oy conferenc~s with interested parties. The City hereby agrees to incorporate all comments offered by the County or its agents into the final documents prepared under the terms of this agreement. IX The City shall be responsible for the accuracy of the work of its agents and shall ensure that all necessary revisions Dr corrections resulting from errors and omissions on the part of the City or its agents are promptly made without additional compe~sation by the County. Acceptance of the work by the County shall in no way rel1~ve the City or its agents of the responsibility for subsequent corrections of any such errors or omissions and also the clarification of any ambiguities. X Upon completton of the corridor study, the City shall furnish the County with one (1) copy of the corridor base Map and five (5) complete copies of the CSAH 3 Corridor Study Report prepared by its agents. .. XI The County shall reimburse the City for a portion of the costs of the herein agreed to corridor study. Said County reimbursement shall be fifty (50) percent of the costs incurred by the City up to a maximum of Fifteen Thousand Dollars and No Cents ($15~OOO.OO). ~};;.~:,:: . -3~ ~ The City may submit monthly invoices to the County for reimbursement. Said invoices shall include a copy of any invoices subm'ftted to the City by its agents for work perfcrmed in Iccordence with this agreement. XIV It is further agreed that any and ail employees of the City and all other persons engaged by the City in the performance of any work or services required or provided herein to be performed by the City or its agents shal1 not be considered emplay~es of the County. and that any and all claims that mayor might arise under the Worker's Compensation Act or the Unemployment Compensation Act of the state of Minnesota on b9h~lf of said employees while so engaged and any and all claims made by any third parties as a consequence of any act or omission on the part of said employees while so engaged on any of the work or services provided to be rendered here1n shall in no way be the obligation or responsibility of the County. We would obtain mylar positives from Horizons, Inc. at a scale of 1- . SOt on 24- x 36~ sheets. The project will take about 4 sheets with all of them having some overlap. The orientation will be parallel with Excelsior Boulevard and not north. .,;,'...'.',.,. .1- We would show all property and right~of-way lines in the defined area in relation to the topography. The revised parking and entrance at Blake School with be shown a~d any other obvious changes that are recognizable on the ground will be changed on the topog.
