JOINT AND COOPERATIVE AGREEMENT CITIES OF HOPKINS AND MI~NETONKA RECYCLABLE WASTE COLLECTION FACILITY I. )?ARTIES: The parties to this agreement are: CITY OF HOPKINS (tfHopkins"), a municipal corporation having its principal offices at 1010 First Avenue North, Hopkins, Minnesota 55343. a,nd CITY OF MINNETONKA ("Minnetonka"), a Minnesota municipal corporation having its principal offices at 14600 Minnetonka Boulevard, Minnetonka, Minnesota 55345. II. BACKGROUND AND PURPOSE: . Minnetonka now operates a facility for the collection of certain recyclable waste materials (the "Facility"). The Facility is located on property owned by Minnetonka and within its boundaries. A location map of the Facility is attached hereto as Exhibit "AIt and is made a part hereof. Minnetonka provides the personnel for the operation of the Facility. It is the purpose of the agreement to provide the basis upon which the parties may jointly and cooperatively oper~~e the Facility, including any additions to or betterments thereof, to serve the two cities. By so providing, the parties believe that they can effect economies and provide a h.igher quality of service to both cities. III. CONTRACT PROVISIONS: In consideration of their mutual covenants and agreements as hereinafter set forth, the parties therefor contract and aqree as follows: A. Use of Facil i ty. Hopkins hereby contracts to use the Facility (including additions thereto and any betterment thereof) and Minnetonka hereby agrees to make available to Hopkins and to use the Facility with HopkinE for the purpose of collecting and disposing of certain recyclable materials. Minnetonka shall continue to own the Facility during and after termination of this agreement. Initially, the Facility shall consist of that area delineated on the atthched Exhibit "A" and designated as "Recycling Center." Any later additions to or betterments of the Facility made pursuant to this agreement shall become part of it. 1 , . . J- . . . B. ~s of Qg~r~ti9~ Days and hour3 of operation shall be as set forth by Minnetonka and agreed to by Hopkins. The Facility's present hou.rs are Monday through Friday, 7:30 a.m. to 4:00 p.m.; Wednesday evenings 4:30 p.m. to 8:00 p.m.: and Saturdays 9:00 a.m. to 3:00 p.m. C. Recvr;:!able Materials. The recyclable waste materials which may be accepted at the Facili ty are newsprint; sorted glass: unsorted aluminum, steel and "tin" cans; corrugated cardboard and other materials as may be mutually agreed upon by the both of the cities and the contracted hauler. D. Management. The operation and supervision of the Facility during the time that this agreement is in effect shall be under the responsibility of the city of Minnetonka. The city of Minnetonka will dispose of the recyclable waste materials by a method agreed to by the City of Hopkins. E. Cost Sharinq. The basis of cost sharing ratio and the items of shared cost are as follows: . 1. Cost Share Ratio. The ratio of shared costs shall be based on the ratio of the total households of each city. currently that ratio is 32% Hopkins (7,727 households) and 68% Minnetonka (16,425 households). This ratio shall be subject to review on a yearly basis. 2. Material Disposal. The cost of recyclable ~_L-.::o materials disposal shall be shared at the current cost share ratio. 30 Signage. The in! tial costs of changing all existing signs to indicate a joint "MinnetonkajHopkins Recycling Center" shall be borne by Hopkins. Future sign improvements and/or changes agreed to by both cities shall be co!ot shared at the current cost share ratio. 4. Advertisement. Each City shall be responsible for advertisement to its own residents; however, if a form of advertisement is agreed by both cities to provide equal benefit the cc-st shall be shared at the current cost share ratio. F. Payment of Cost. Minnetonka will pay its contracted hauler. Minnetonka will bill Hopkins on a maximum of a monthly basis and/or on a schedule to allow meeting the docu~entation requirements of the Hennepin County grant program. G. Recyclinq. Each city shall receive credit for the recycled tonnages generated by the Facility in proportion to the current cost share ration. .' . 2 -" ",." , -.--. . H. Keeping ,of and Access tQ Reqords. During the time 'that Minnetonka is operating the facil i ty, it shall keep such records as are necessary to collect information necessary to the administration of this agreement such as tonnages of recycled materials collected. In the administration of this agreement, the parties will each provide the other with full access to all books and records relating to any inforrna tion used in connection with this agreement of the operation of the Facility. I. Curbside Pickuo. Either City may provide for curbside pickup of recyclable waste within its boundarias even though such action has the effect of reducing the tonnage of recyclable materials collected at the Facility. . J. Termination of Aqreernent. This agreement shall be effective upon its duly authorized execution by the parties. It shall continue in force subject to termination by either party upon 30 days written notice to the other party. K. Liabil ity. Each party shall defend, indemnify and hold harmless the other party, its officials and employees from all claims made against them, and damages or expenses they incur, including' attorneys I fees, arising from bodily injury, death, or property damage caused by the use of the Facility by that party's (not the other party's) residents and their quests. Each party shall assume responsibility for and shall be liable for any workers or unemployment compensation, with..l101dinq, social security or similar obligation, for persons employed or otherwise engaged by it in connection with operation of the facility. L. COoDerative Effort. Each party agrees that it will Cooperate fully and in a timely manner to take the actions necessary to facil i tate and accompl ish" the foregoing provisions of this agreement.
