PROJECT) SERIES 1983 OF THE CITY OF HOPKINS; AND AUTHORIZING THE USE OF AN OFFICIAL STATEMENT RELATING TO THE SERIES 1983 BONDS. -. I, the undersigned, being the duly qualified and acting recording officer of the municipal corporation which issued the Series 1983 Bonds referred to in the title of this certificate, certify that the documents attached hereto, as described above, have been carefully compared with the original records of said corporation in my legal custody, from which they have been transcribed: that said documents are a correct and complete transcript of the minutes of a meeting of the governing body of said corporation and correct and complete copies of all resolu- tions and other actions taken and all of the documents approved by the governing body at said meeting, so far as they relate to said Series 1983 Bonds; and that said meeting was duly held by the governing body at the time and place and was attended throughout by the members indicated above, pursuant to call and notice of such meeting given as required by law and that said resolution was adopted by the requisite vote required under the charter of said City, signed by the Mayor and is in full force and effect. o WITNESS, my hand officially as such recording officer of the City this ____ day of February, 1984. City Clerk (SEAL) o o 2 Councilmember, Mr.Milbert , introduced the follo~ing Resolution and moved its adoption: ~o RESOLUTION NO. 3120 RESOLlITION OF THE CITY COUNCIL OF THE CITY OF HOPKINS, MINNESOTA APPROVING THE RESALE TO THE PUBLIC OF $3,500,000 AGGREGATE PRINCIPAL AMOUNT OF INDUSTRIAL DEVELOPMENT REVENUE BONDS (ADVANCE CIRCUITS, INC. PROJECT) SERIES 1983 OF THE CITY OF HOPKINS: AND AUTHORIZING THE USE OF AN OFFICIAL STATEMENT RELATING TO THE SERIES 1983 BONDS. WHEREAS, on December 20, 1983, by Resolution No. 83-3110, the Council of the City of Hopkins approved the issuance and sale of $3,500,000 aggregate principal amount of Industrial Development Revenue Bonds (Advance Circuits, Inc. Project) Series 1983 of the City of Hopkins (the "Bonds"), authorized execution of the Trust Indenture, Loan Agreement and Bond Purchase Agreement, and authorized the use of an Official Statement, all relating to the Series 1983 Bonds; and Q WHEREAS, the Bonds were issued on December 21, 1983, and sold to and purchased by First National Bank of Minneapolis; and WHEREAS, Advance Circuits, Inc. now has requested that the Bonds be remarketed through a public sale rather than a private sale, and has requested the approval of the City of such remarketing; NOW THEREFORE, be it ordained by the Council of the City of Hopkins, Minnesota as follows: 1. The City hereby approves a remarke~ing of the Series 1983 Bonds to the public upon such terms and ~onditions as are agreed upon by Advance Circuits, Inc. and the remarketing agent. o 2. The Preliminary Official Statement dated February 17, 1984, relating to the public offer and sale of the Bonds has been submitted to the Council and is now or shall be placed on file in the office of the Secretary to the Council. The form of the Preliminary Official Statement is hereby approved. The City hereby consents to the distribution of the Preliminary Official Statement to prospective purchasers of the Bonds, but assumes no responsibility for the contents thereof. 3. The Mayor and City Manager are also hereby authorized and directed to execute an official statement substantially in the form of the Preliminary Official Statement, but with such changes therein as may be approved by the Mayor and City Manager, which approval shall be conclusively evidenced by the execution thereof. The City consents to the distribution of the final Official Statement, but assumes no responsibility for the contents thereof. 3 o Q o 4. The Mayor, City Manager and other officers of the City are authorized and directed to execute and deliver to Lindquist & Vennum, bond counsel, such other documents as are necessary in connection with the sale to the public of the Bonds, including confirmation of all proceedings and records of the City relating to the Bonds, and confirmation of such other agreements, affidavits and certificates as were executed in connection with the issuance of the Bonds. Adopted by the City Council, the City of Hopkins, Minnesota this 21st day of February, 1984.
