AGREEMENT THIS AGREEMENT, made this 17th day of May, 1983 by and between CITY CENTER DEVELOPMENT CORPORATION, a non-profit corporation, first party hereinafter called "City Center" and the CITY OF HOPKINS, a duly organized and existing mum.cl.pall.ty, second party hereinafter called "Cl.ty". BACKGROUND City Center is a non-profit corporation organized for operation wl.thin the City of Hopkins to promote general improvement of its central business distrl.ct, encourage new commercial investment, facilitate growth and development of existing businesses and implement the 1981 downtown development plan with the assistance and cooperation of the Cl.ty. The mutual objectives herein expressed by the parties to this Agreement can more effl.ciently be pursued and carrl.ed out with the financial assistance of the City. Both parties to this Agreement agree the attainment of the objectives herein expressed are in the public good and serve the best interests of the City's responsibilities to its citizens. AGREEMENT In consideration of mutual benefits each of the parties to this Agreement will attain in service to the public welfare and betterment of the City and for the citizens and users of its facilities, the parties agree as follows: 1. That City Center shall perform the function and service outlines below for a term of one year from and after the date of this Agreement. a. Compile and maintain information on downtown structures, housing and business activities including key features, size and occupancy. b. Solicit sale of and development for premises owned by the City at 8th and Excelsior and other sites that may be designated by the City from time to time. c. Initiate as well as coordinate merchant participation in the improvement of the City parking facilities. d. Prepare, publish and disseminate a quarterly newsletter of at least 300 copies to property owners, merchants, and residents in the community. e. I . t _' f. Conduct a seminar on building improvements, restoration and related subjects. g. Collect and distribute information on financial assistance programs to encourage and assist in this acquisitl.on, constr- uction, rehabilitation and maintenance of real estate in the downtown business district and pursuant to the goals and objectives of the downtown development plan. h. Initiate actions and programs for implementation and achieve- ment of the goals and objectives outlined in the downtown development plan including without limitation: 1. Promotion of new development and business in the central business district from both within and outside the City of Hopkins; 2. Solicit investor interest in and proposals for projects and developments; 3. Identify opportunities to revitalize the central business district in keeping with the guidelines expressed within the downtown development plan. i. Furnish reports to the City or its representatives on City Center's activities as the City may direct from time to time. 2. The City shall pay City Center for the services to be rendered the sum of $3.000 monthly, payable on the first day of each month commencing May 1, 1983 and for a period of 12 consecutive months thereafter. 3. Unless otherwise renewed by the City by written notice thereof furnished to City Center 30 days prior to April 30, 1984, this Agreement shall terminate on May 1, 1984 in all respects and all parties shall be released from the obligations undertaken herein. 4. The parties do not intend nor shall the terms of this Agreement be construed to be a contract of employment or otherwise create an employee relation- ship between the parties or their representatives.
