Approve Third Amendment to Site Lease Agreement between the City of Hopkins and
T -Mobile Central LLC
Proposed Action.
Staff recommends adoption of the following motion: Move that Council authorize the
Mavor and City Manaaer to sian the third amendment to a site lease aareement
between the City of Hopkins and T -Mobile Central LLC extendina the antenna lease at
the Moline Water Tank site an additional ten (10) years.
Overview.
In February, 1997 City Council authorized the installation of six (6) antennas on the
Moline water tank. In 2000, City Council approved an amendment allowing installation
of six additional antennas. Also, this amendment established the rent for 12 antennas
as $17,860/year with 50/0 annual increases. The current rent is $24,000/year. This
proposed third amendment continues the 5% annual rent increases and requires T-
Mobile to install anti-climb devices on the tower. The term extension is ten (10) years,
expiring on Dec 31,2016. The City Attorney has reviewed the amendment. Staff
recommends approval of the third amendment to the lease agreement.

THIRD AMENJ)MENT TO SITE LEASE AGREEMENT
THIS THIRD AMENDMENT TO SITE LEASE AGREEMENT ("Third Amendment") is made
and entered into on , 2006, by and between the City of Hopkins, a Minnesota municipal
corporation ("Landlord"), and T-Mobile Central LLC, a Delaware limited liability company, as successor
in interest to V oiceStream Minneapolis, Inc., f/k/a APT Minneapolis, Inc. ("Tenant").
Recitals
The parties hereto recite, declare and agree as follows:
A. Landlord and Tenant entered into a Site Lease Agreement dated February 11, 1997 (together
with the First Amendment to Site Lease Agreement dated February 11, 1997 and the Second Amendment
to Site Lease Agreement dated May 2, 2000, (collectively the "Lease") with respect to Leased Premises
located at 915 County Road 3, Hopkins, Minnesota. The terms and conditions of the Lease are
incorporated herein by this reference, and capitalized terms used in this Third Amendment shall have the
same meanings such terms are given in the Lease.
B. Landlord and Tenant desire to enter into this Third Amendment in order to modify and amend
certain provisions of the Lease.
NOW, THEREFORE, in consideration of the mutual covenants and agreements herein contained
and other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, Landlord and Tenant covenant and agree as follows:
1. The term of the Lease is extended for an additional ten (10) years, from January 1,2007
through December 31, 2016 (the "Extended Term"). During the Extended Term, rent will increase
annually in accordance with Section 1 of the Second Amendment to Site Lease Agreement

3. At its sole cost and expense, Tenant will modify its Antenna Facilities by installing anti-
climbing devices as depicted in Exhibit A by January 15,2007, which is attached hereto and by this
reference incorporated herein, and Landlord hereby approves of such installation and Exhibit A in all
respects.
4. Except as specifically set forth herein, this Third Amendment shall in no way modify, alter or
amend the remaining terms of the Lease, all of which are hereby ratified by the parties and shall remain
in full force and effect.
IN WITNESS WHEREOF, the parties have executed this Third Amendment on the day and year
first written above.
