MINUTES OF HOPKINS HRA REGULAR MEETING
February 1, 2011
A regular meeting of the Hopkins Housing and Redevelopment
Authority was held February 1, 2011, at Hopkins City Hall.
Present were Chairman Eugene Maxwell and Commissioners Rick
Brausen, Kristi Halverson, Bruce Rowan and Cheryl Youakim. Also
present were Executive Director Rick Getschow, Assistant
Executive Director Kersten Elverum and City Attorney Jerry
Steiner.

The meeting was called to order at 7:26 p.m.

No one from the public came forward to speak.

Proposed Action
Staff recommends adoption of the following motion: Move to approve the
Parking Easement Agreement between Happy Valley Properties, LLC and
Marketplace Holdings, Inc.
Overview
As a lender with interest in the Marketplace & Main site, the HRA has been
asked to approve a parking easement agreement. The agreement is a
requirement of the lender providing financing for the expansion of the Hopkins
Health & Wellness Center (Happy Valley Properties).
The agreement basically extends the area that the Hopkins Health & Wellness
Center needs to meet their parking needs. It does not affect the parking for the
Apartments as there is an additional parking easement (from Hopkins Wellness
to Marketplace & Main) that provides a cross easement for parking, allowing the
• apartment residents to park in the Hopkins Wellness Center lot after hours.
Nancy Anderson, City Planner, has reviewed and approved this request.
Primary Issues to Consider
The easement agreement will allow for shared parking between uses that have
opposite times of demand, and therefore, it will maximize parking using minimal
land.

PARKING EASEMENT AGREEMENT
THIS PARKING EASEMENT AGREEMENT is made this day of ~ r.
2011, by HAPPY VALLEY PROPERTIES, LLC, a Minnesota limited liability company
("Grantor"), in favor of MARKETPLACE HOLDINGS, INC., a Minnesota corporation
MARKETPLACE HOLDINGS, INC., a Minnesota corporation ("Grantee").
RECITALS:
• Grantor is the fee owner of certain real property located in Hennepin County, Minnesota
and legally described as Lot 2, Block 1, Marketplace and Main, according to the plat thereof on
file or of record in the office of the Registrar of Titles in and for Hennepin County, Minnesota
(the "Happy Valley Property")
Grantee is the fee owner of certain real property located in Hennepin County, Minnesota
and legally described as Lot 1, Block 1, Marketplace and Main, according to the plat thereof on
file or of record in the office of the Registrar of Titles in and for Hennepin County, Minnesota
(the "Marketplace Property")

Grantor desires to grant and Grantee desires to receive an easement for parking, ingress
and egress purposes, hereinafter described, over and across a certain portion of the Happy Valley
Property.
NOW, THEREFORE, in consideration of the foregoing and other good and valuable
consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as
follows:
1. Grant of Parking Easement. Grantor hereby grants, sells, transfers and conveys to
Grantee, its successors and assigns, as an easement appurtenant to the Marketplace Property, a
perpetual nonexclusive easement for parking, ingress and egress purposes over and across the
area located on the Happy Valley Property legally described and depicted on attached Exhibit A
(the "Parking Easement").

2. Exclusive Use. Grantee shall have exclusive use of five (5) parking stalls
depicted on attached Exhibit B located in the Parking Easement from 6:00 PM until 7:00 AM
daily.
3. Use of Parking .Easement. It is mutually agreed and understood by the parties
hereto that the right to use the Parking Easement shall inure to the benefit of both parties liereto,
and their respective successors, assigns, tenants, licensees and invitees. The Parking Easement
shall be used by Grantee solely for parking, ingress and egress purposes provided, however, (a)
that parking shall be permitted only in areas designated or striped for parking purposes, (b)
Grantor reservas.the right to any subsurface use of the Parking Easement and the right to install
and maintain" pipes, conduits, wires and the like under, upon or over the Parking Easement
which do nasonably interfere with Grantee's use of the Parking Easement, (c) the Parking

United States Mail, postage prepaid, certified mail (return receipt requested), to the addresses set
forth below, which addresses may be changed by the respective parties hereto, their successors or
assigns, by sending written notice thereof as aforesaid to the other party and specifying the new
address.

7. The Running of Benefits and Burdens. All provisions of this Parking Easement
Agreement, including the benefits and burdens, run with the land and are binding upon and shall
inure to the benefit of the assigned successors and tenants of the parties hereto.
8. Amendments. The parties hereto acknowledge and. agree that this Parking
Easement Agreement shall not be modified or amended without the written approval of each of
the parties.
9. Termination of Covenant or Liability. Whenever a transfer of ownership of either
the Happy Valley Property or the Marketplace Property occurs, liability of the transferor for
breach of any covenants occurring thereafter automatically terminates provided, however, such
transferor shall remain liable for any sums of money or obligations incurred prior to such
transfer.
10. Governing Law. This Parking Easement Agreement shall be construed, enforced
and interpreted under the laws of the State of Minnesota.
11, Remedies. If a default by either party hereunder occurs, the non -defaulting party
may at any time thereafter obtain a money judgment or injunctive relief against the defaulting
is party. These remedies are cumulative and shall be in addition to every other right or remedy
