CR 2013-119 Approve Engineering Agreement - 2014 Hobby Acres Street Improvements-44M City of Hopkins November 19, 2013 Council Report 2013-119 Approve Engineering Agreement 2014 Hobby Acres Street Improvements Proposed Action Staff recommends adoption of the following motion: Move that Council adopt Resolution 2013-073, Resolution Approving Engineering_Agreement, 2014 Hobbes Street Improvements. Overview The Hobby Acres neighborhood is experiencing significant pavement degradation. We consulted with American Engineering Testing, Inc. who took core samples and analyzed them. They found that the degradation is taking place in the upper 2 to 3 %2 inches of pavement and was likely caused by too little oil in the asphalt when it was placed. Because the asphalt is not thick enough to support a 3" deep mill, we are recommending that we reclaim the asphalt, mix it with the underlying gravel and pave a new asphalt section on top. This level of work would typically trigger an assessment project, but because the pavement is deteriorating due to poor construction and properties were assessed for the original work, we do not believe assessing the neighborhood is advisable. Additional work with this project is storm sewer needed to fix a drainage issue on 13a' Avenue North south of 3'd Street North. During heavy rainfall, water overtops the western curb on 13a` Ave and has flooded a basement. Additionally, trail repaving at Hopkins Crossroad is also included. Also included the proposal is the design of the Zion Lutheran/Burnes Park Parking area. As we discussed previously, the City is providing engineering and stormwater treatment and Zion Lutheran is paying for the paving and striping of this lot. The CLIENT shall promptly compensate the CONSULTANT in accordance with Section III of this Agreement. B. The CLIENT shall place any and all previously acquired information in its custody at the disposal of the CONSULTANT for its use. Such information shall include but shall not be limited boundary surveys, topographic surveys, preliminary sketch plan layouts, building plans, soil surveys, abstracts, deed descriptions, tile maps and layouts, aerial photos, utility agreements, environmental reviews, and zoning limitations. The CONSULTANT may rely upon the accuracy and sufficiency of all such information in performing services unless otherwise instructed, in writing, by CLIENT. C. The CLIENT will guarantee access to and make all provisions for entry upon both public and private portions of the project and pertinent adjoining properties. D. The CLIENT will give prompt notice to the CONSULTANT whenever the CLIENT observes or otherwise becomes aware of any defect in the proposed project. E. The CLIENT shall designate a liaison person to act as the CLIENT'S representative with respect to services to be rendered under this Agreement. Said representative shall have the authority to transmit instructions, receive instructions, receive information, interpret and define the CLIENT'S policies with respect to the project and CONSULTANT'S services. The CLIENT shall provide such legal, accounting, independent cost estimating and insurance counseling services as may be required for completion of the consultant services described in this agreement. G. The CLIENT will obtain any and all regulatory permits required for the proper and legal execution of the project. H. The CLIENT will hire, when requested by the CONSULTANT, an independent test company to perform laboratory and material testing services, and soil investigation that can be justified for the proper design and construction of the project. The CONSULTANT shall assist the CLIENT in selecting a testing company. Payment for testing services shall be made directly to the testing company by the CLIENT and is not part of this Agreement. In addition to the foregoing, CONSULTANT shall be reimbursed at cost plus an overhead fee (not -to -exceed 10%) for the following Direct Expenses when incurred in the performance of the work. a. CLIENT approved outside (facilities not owned by CONSULTANT) computer services. b. CLIENT approved outside professional and technical services. C. Outside reproduction and reprographic charges. d. Expendable field supplies and special field equipment rental. e. Other costs for such additional items and services that the CLIENT may require the CONSULTANT to provide to fulfill the terms of this Agreement. 4. Additional services as outlined in Section I.B will vary depending upon project conditions and will be billed on an hourly basis at the rate described in Section III.A.1. B. The payment to the CONSULTANT will be made by the CLIENT upon billing at intervals not more often than monthly at the herein rates. STANDARD OF CARE Professional services provided under this Agreement will be conducted in a manner consistent with that level of care and skill ordinarily exercised by members of the Consultant's profession currently practicing under similar conditions. No warranty, express or implied, is made. B. CHANGE IN PROJECT SCOPE In the event the CLIENT changes or is required to change the scope of the project from that described in Section I and/or the applicable addendum, and such changes require Additional Services by the CONSULTANT, the CONSULTANT shall be entitled to additional compensation at the applicable hourly rates. The CONSULTANT shall give notice to the CLIENT of any Additional Services, prior to furnishing such additional services. The CLIENT may request an estimate of additional cost from the CONSULTANT, and upon receipt of the request, the CONSULTANT shall furnish such, prior to authorization of the changed scope of work. C. LIMITATION OF LIABILITY CONSULTANT shall indemnify, defend, and hold harmless CLIENT and its officials, agents and employees from any loss, claim, liability, and expense (including reasonable attorneys' fees and expenses of litigation) arising from, or based in the whole, or in any part, on any negligent act or omission by CONSULTANT'S employees, agents, or subconsultants. In no event shall CLIENT be liable to CONSULTANT for consequential, incidental, indirect, special, or punitive damages. CLIENT shall indemnify, defend, and hold harmless CONSULTANT and its employees from any loss, claim, liability, and expense (including reasonable attorneys' fees and expenses of litigation) arising from, or based in the whole, or in any part, on any negligent act or omission by CLIENT'S employees, agents, or consultants. In no event shall CONSULTANT be liable to CLIENT for consequential, incidental, indirect, special, or punitive damages. Nothing contained in this Agreement shall create a contractual relationship with or a cause of action in favor of a third party against either the CLIENT or the CONSULTANT. The CONSULTANT'S services under this Agreement are being performed solely for the CLIENT'S benefit, and no other entity shall have any claim against the CONSULTANT because of this Agreement or the performance or nonperformance of services provided hereunder. The CLIENT agrees to include a provision in all contracts with contractors and other entities involved in this project to carry out the intent of the paragraph. D. INSURANCE The CONSULTANT agrees to maintain, at the CONSULTANT'S expense, statutory worker's compensation coverage. The CONSULTANT also agrees to maintain, at CONSULTANT'S expense, general liability insurance coverage insuring CONSULTANT against claims for bodily injury, death or property damage arising out of CONSULTANT'S general business activities (including automobile use). Public Standard Agreement (2004 Form) VER. 6/22/2006 Page 4 of 9 The liability insurance policy shall provide coverage for each occurrence in the minimum amount of $1,000,000. During the period of design and construction of the project, the CONSULTANT also agrees to maintain, at CONSULTANT'S expense, Professional Liability Insurance coverage insuring CONSULTANT against damages for legal liability arising from an error, omission or negligent act in the performance of professional services required by this agreement, providing that such coverage is reasonably available at commercially affordable premiums. For purposes of this agreement, "reasonably available" and "commercially affordable" shall mean that more than half of the design professionals practicing in this state in CONSULTANT'S discipline are able to obtain coverage. The professional liability insurance policy shall provide coverage for each occurrence in the amount of $1,000,000 and annual aggregate of $1,000,000 on a claims -made basis. Upon request of CLIENT, CONSULTANT shall provide CLIENT with certificates of insurance, showing evidence of required coverages. E. OPINIONS OR ESTIMATES OF CONSTRUCTION COST Where provided by the CONSULTANT as part of Exhibit I or otherwise, opinions or estimates of construction cost will generally be based upon public construction cost information. Since the CONSULTANT has no control over the cost of labor, materials, competitive bidding process, weather conditions and other factors affecting the cost of construction, all cost estimates are opinions for general information of the CLIENT and the CONSULTANT does not warrant or guarantee the accuracy of construction cost opinions or estimates. The CLIENT acknowledges that costs for project financing should be based upon contracted construction costs with appropriate contingencies. F. CONSTRUCTION SERVICES It is agreed that the CONSULTANT and its representatives shall not be responsible for the means, methods, techniques, schedules or procedures of construction selected by the contractor or the safety precautions or programs incident to the work of the contractor. G. USE OF ELECTRONIC/DIGITAL DATA Because of the potential instability of electronic/digital data and susceptibility to unauthorized changes, copies of documents that may be relied upon by CLIENT are limited to the printed copies (also known as hard copies) that are signed or sealed by CONSULTANT. Except for electronic/digital data which is specifically identified as a project deliverable by this AGREEMENT or except as otherwise explicitly provided in this AGREEMENT, all electronic/digital data developed by the CONSULTANT as part of the PROJECT is acknowledged to be an internal working document for the CONSULTANT'S purposes solely and any such information provided to the CLIENT shall be on an "AS IS" basis strictly for the convenience of the CLIENT without any warranties of any kind. As such, the CLIENT is advised and acknowledges that use of such information may require substantial modification and independent verification by the CLIENT (or its designees). Provision of electronic/digital data, whether required by this Agreement or provided as a convenience to the Client, does not include any license of software or other systems necessary to read, use or reproduce the information. It is the Public Standard Agreement (2004 Form) VER. 6/22/2006 Page 5 of 9 responsibility of the CLIENT to verify compatibility with its system and long-term stability of media. CLIENT shall indemnify and hold harmless CONSULTANT and its Subconsultants from all claims, damages, losses, and expenses, including attorneys' fees arising out of or resulting from third party use or any adaptation or distribution of electronic/digital data provided under this AGREEMENT, unless such third party use and adaptation or distribution is explicitly authorized by this AGREEMENT. H. REUSE OF DOCUMENTS Drawings and Specifications and all other documents (including electronic versions of any documents) prepared or furnished by CONSULTANT pursuant to this AGREEMENT are instruments of service in respect of the Project and CONSULTANT shall retain exclusive ownership and property interest therein whether or not the Project is completed. The CONSULTANT shall be deemed the author of these documents and shall retain all common law, statutory and other reserved rights including the copyright. CLIENT may make and retain copies for information and reference in connection with the use and occupancy of the Project by CLIENT and others; however, such documents are not intended or represented to be suitable for reuse by CLIENT or others on extensions of the Project or on any other project. Any reuse by CLIENT or any other entity without written verification or adaptation by CONSULTANT for the specific purpose intended will be at CLIENT'S sole risk and without liability or legal exposure to CONSULTANT and CLIENT shall indemnify, defend and hold harmless CONSULTANT from all claims, damages, losses and expenses including attorney's fees arising out of or resulting therefrom. Any such verification or adaptation will entitle CONSULTANT to further compensation at rates to be agreed upon by CLIENT and CONSULTANT. I. PERIOD OF AGREEMENT This Agreement will remain in effect for the longer of a period of two years or such other explicitly identified completion period, after which time the Agreement may be extended upon mutual agreement of both parties. PAYMENTS If CLIENT fails to make any payment due CONSULTANT for services and expenses within thirty days after date of the CONSULTANT'S invoice, a service charge of one and one-half percent (1.5%) per month or the maximum rate permitted by law, whichever is less, will be charged on any unpaid balance. In addition after giving seven days' written notice to CLIENT, CONSULTANT may, without waiving any claim or right against the CLIENT and without incurring liability whatsoever to the CLIENT, suspend services and withhold project deliverables due under this Agreement until CONSULTANT has been paid in full all amounts due for services, expenses and charges. K. TERMINATION This Agreement may be terminated by either party for any reason or for convenience by either party upon seven (7) days written notice. Public Standard Agreement (2004 Form) VER. 6/22/2006 Page 6 of 9 In the event of termination, the CLIENT shall be obligated to the CONSULTANT for payment of amounts due and owing including payment for services performed or furnished to the date and time of termination, computed in accordance with Section III of this Agreement. L. CONTINGENT FEE The CONSULTANT warrants that it has not employed or retained any company or person, other than a bona fide employee working solely for the CONSULTANT to solicit or secure this Contract, and that it has not paid or agreed to pay any company or person, other than a bona fide employee, any fee, commission, percentage, brokerage fee, gift or any other consideration, contingent upon or resulting from award or making of this Agreement. M. NON-DISCRIMINATION The provisions of any applicable law or ordinance relating to civil rights and discrimination shall be considered part of this Agreement as if fully set forth herein. The CONSULTANT is an Equal Opportunity Employer and it is the policy of the CONSULTANT that all employees, persons seeking employment, subcontractors, subconsultants and vendors are treated without regard to their race, religion, sex, color, national origin, disability, age, sexual orientation, marital status, public assistance status or any other characteristic protected by federal, state or local law. N. CONTROLLING LAW This Agreement is to be governed by the law of the State of Minnesota. O. DISPUTE RESOLUTION CLIENT and CONSULTANT agree to negotiate all disputes between them in good faith for a period of 30 days from the date of notice of dispute prior to proceeding to formal dispute resolution or exercising their rights under law. Any claims or disputes unresolved after good faith negotiations shall fust be submitted to mediation utilizing the Minnesota District Court Rule 114 Roster. Disputes not resolved by mediation shall then be submitted to arbitration in accordance with provisions of the Construction Industry Arbitration Rules of the American Arbitration Association. CONSULTANT and the CLIENT agree to require an equivalent dispute resolution process governing all contractors, sub -contractors, suppliers, consultants, and fabricators concerned with this project. P. SURVIVAL All obligations, representations and provisions made in or given in Section IV of this Agreement will survive the completion of all services of the CONSULTANT under this Agreement or the termination of this Agreement for any reason. SEVERABILITY Any provision or part of the Agreement held to be void or unenforceable under any law or regulation shall be deemed stricken, and all remaining provisions shall continue to be valid and binding upon CLIENT and CONSULTANT, who agree that the Agreement shall be reformed to replace such stricken provision or part thereof with a valid and enforceable provision that comes as close as possible to expressing the intention of the stricken provision. BASIC SERVICES In 2014, the City of Hopkins intends to make infrastructure improvements and rehabilitations at several locations throughout the City. The City has designated the following Hobby Acres Neighborhood streets for rehabilitation in 2014: ■ Wayside Road, from 5`h Avenue N to its easterly limit E Farmdale Road, from W Farmdale Road to its easterly limit ■ Sweet Briar Lane, from Wayside Road to its northerly limit ■ Althea Lane, from E Farmdale Road to Wayside Road ■ Hazel Lane, from E Farmdale Road to its northerly limit ■ Hollyhock Lane, from E Farmdale Road to Wayside Road The City has also requested a proposal for engineering services for reconstruction of an existing bituminous trail from 7"' Street N to Hopkins Crossroad, behind the City's Water Treatment Plant. Finally, the City has also requested an analysis of its storm sewer system serving the intersection of 13`h Avenue N and 3'd Street N and the block to the south of this intersection. Detailed tasks associated with the work are itemized in the attached Detailed Work Plan and are described as follows: Task 1: Public Engagement & Project Development Bolton & Menk will assist in informing the property owners in Hobby Acres by preparing and distributing a questionnaire. Responses will be reviewed for consideration in the design of improvements. After preparing preliminary figures, additional feedback from the public will be received at a public open house with property owners invited. Significant efforts for project development and public engagement in the Hobby Acres pavement rehabilitation area and along the area of the reconstructed trail are not anticipated. We propose to conduct one joint meeting in an open house format to allow the residents in close proximity to those projects an opportunity to receive project information. Task 2: Final Design, Preparation of Plans & Specifications Final plans and specifications will be completed in compliance with the City of Hopkins' Engineering Guidelines. Design of the 2014 Hobby Acres Improvements will be completed based on available planimetric data and aerial photography. Roadway and utility improvement construction plans will be prepared in CAD, illustrating plan views of the street rehabilitation improvements. The need for cross sections and profile views are not anticipated. Required construction details will be included in the final plan set. City of Hopkins November 8, 2013 T16.106858 The reconstructed trail will be designed to replace the trail in its existing location. Given the tight proximity of other structures, including retaining wall, fencing, and buildings, major grade changes and new retaining walls are not anticipated. Also, while opportunities for more significant landscaping may be available at the easterly end of the trail in the park, we anticipate limited landscaping components above and beyond the typical planting of new and replacement trees. Analysis of the storm sewer system to address drainage issues alongl3th Avenue N will also be completed. This analysis will be based upon Citywide storm sewer mapping and elevation data provided by the City, aerial photography from Hennepin County by way of the City, LiDAR topographic data from the MnDNR, and topographic survey data along the 13`s Avenue N corridor collected by Bolton & Menk. The existing storm sewer system will be modeled in AutoDesk Storm & Sanitary Analysis, formerly known as StormNET. This model will be utilized to identify existing issues with system and to consider two options for improvement: 1) Directing more water to Maetzold Field for temporary storage 2) Enlarging the existing storm sewer main on 3'd Street N to the east. Upon completion of the modeled alternatives, findings and recommendations for improvements will be documented in a memorandum and presented to City staff at a meeting. Bolton & Menk will prepare final plans detailing proposed improvements based on the City's direction after staff has had an opportunity to review Bolton & Menk's recommendations. For the purposes estimating costs of this proposal, however, we assume improvements to the storm sewer system will require installation of a new storm sewer main along 13`x` Avenue N between the regional trail and P Street N. To complete this work, a topographic survey is proposed to identify existing conditions including pavement elevations, existing utility locations, critical home corners, lowest opening elevations on critical properties subject to flooding under current conditions, and critical swales/ground elevations allowing overflow of stormwater from the roadway into the isolated low point between 13th Avenue N and 14`" Avenue N, south of Yd Street N. Elevations describing this isolated low point, which serves reportedly serves as a drainage basin during storm events, are proposed to be collected from the aforementioned LiDAR data. Final plans will include plan and profile views of the proposed street and utility improvements along 13`x' Avenue N. Roadway cross sections will also be produced. Special Provisions and construction cost estimates will also be prepared. Final plans will be submitted for review and comment by private utility owners and a required coordination meeting with these entities will be held. Required permit applications will be identified and completed. The project will be advertised, bids will be taken, and recommendation will be made to accept or reject bids. Task 3: Construction Services Construction Staking Construction staking needs for the Hobby Acres project area are not anticipated. For the trail replacement, construction staking will be provided for the edge of the new bituminous trail. Duties of the Construction Observer will include attendance at the pre -construction meeting and all construction -related meetings, service as a liaison between the City and the contractor, review of the completed work to determine if the project is in general conformance with the plans and specifications, review of all materials testing, maintenance of construction documentation, and communication with affected property owners, as necessary, to address their construction -related concerns and issues. Administration duties include a pre -construction meeting, weekly project meetings, review of shop drawings, and preparation of pay estimates. Observation and administration services will be completed on an hourly basis. The project fee estimate is based upon a 10 -week construction schedule in 2014. Estimated weekly time spent for observation and administration is 50 hrs/wk and 15 hrs/wk, respectively. Record Drawings Record drawings detailing the completed improvements as recorded by the construction observer and the City of Hopkins' contractor will be completed and furnished to the City in hard copy and electronic format. ADDITIONAL SERVICES Consulting services performed other than those authorized under Section I.A. shall be considered not part of the Contract Services and may be authorized by the CLIENT as additional services. CITY OF HOPKINS HENNEPIN COUNTY, MINNESOTA RESOLUTION 2013-073 RESOLUTION APPROVING ENGINEERING AGREEMENT 2014 HOBBY ACRES STREET IMPROVEMENTS WHEREAS, the all or portions of the following streets are in need of reclamation: Farmdale Road, Wayside Road, Campbell Road, Althea Lane, Hazel Lane, and Hollyhock Lane; and WHEREAS, drainage improvements are needed on 13th Avenue North; and WHEREAS, the trail at Hopkins Crossroads is in poor condition; and WHEREAS, the Zion Lutheran Church parking lot is in need of reconstruction and is also used by the community for Burnes Park; NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Hopkins, Minnesota, that the proposed improvements be referred to the firm Bolton & Menk, Inc. for study, design, final plan preparation and construction services. And that the City Engineer is hereby authorized and directed to execute the proposal contained in the council report.
